八年虛增19.89億元 ST撫鋼虛假陳述案將首次開庭

因連續長期財務造假、信披違法違規而被證監會處罰的ST撫鋼(600399)發佈公告稱，公司近期收到了《應訴通知書》。
公告顯示，公司於4月3日至17日收到遼寧省瀋陽市中級人民法院發來的關於民事訴訟的《應訴通知書》及相關法律文書。法院已受理51名原告訴公司證券虛假陳述責任糾紛案件，起訴金額合計1070.19萬元。
另據大眾維權易欄目組律師消息稱，ST撫鋼虛假陳述案將於2020年6月3日上午在瀋陽市中級人民法院首次開庭，本次約有20名投資者起訴，索賠金額約在180萬元左右。律師認為，投資者最終勝訴的概率較高，但法院判決的賠付金額比例值得關注。
八年虛增存貨近20億元
ST撫鋼虛假陳述案源起2019年12月26日證監會下發的《行政處罰決定書》，經證監會查明，ST撫鋼2010年至2016年年度報告和2017年第三季度報告中披露的期末存貨餘額存在虛假記載。ST撫鋼在上述時間段的季報與年報中，通過偽造、變造原始憑證及記賬憑證、修改物供系統、成本核算系統、財務系統數據等方式調整存貨中“返回鋼”數量、金額，虛增涉案期間各定期報告期末存貨。ST撫鋼在八年時間內，累計虛增存貨19.89億元。
此外，證監會還查明，ST撫鋼在涉案期間各定期報告中，多次虛假記載在建工程餘額、固定資產餘額、固定資產折舊、主營業務成本和利潤總額等數據。
證監會在彼時的處罰決定書中措辭極為嚴厲。證監會稱，ST撫鋼自2010
年至2017年連續多年存在信息披露有虛假記載的違法行為，其違法行為具有連續性、一貫性，且持續時間長，手段特別惡劣，涉案數額特別巨大，嚴重擾亂市場秩序並造成嚴重社會影響，致使投資者利益遭受特別嚴重的損害。
基於如此惡劣的財務造假行為和證監會的處罰決定書，大眾維權易欄目組律師認為，凡於2011年4月14日至2018年3月21日之間買入ST撫鋼，並在2018年3月22日及之後賣出或仍持有而虧損的投資者，可通過微信公眾號“大眾證券報”(特徵碼：11011)報名參與索賠。
破產重組扭虧為盈
長期財務造假被處罰後的ST撫鋼“痛定思痛”，通過破產重組甩掉了身上沉重的財務負擔。
在ST撫鋼的2019年年報中，ST撫鋼實現了扭虧為盈，通過債務重整，財務費用大幅下降。ST撫鋼在年報中總結扭虧原因時稱，“2019年，公司在董事會完成換屆選舉，引入江蘇沙鋼集團先進高效管理機制的背景下，開啟了相融發展、創新發展的改革序幕。公司經營理念、薪酬分配、機構設置、人才使用、購銷模式、技改建設、降本增效等方面發生前所未有的變革。”
ST撫鋼於近日披露的2020年一季報顯示，公司一季度實現營業收入14.42億元，同比下降8.79%；實現歸屬於上市公司股東的淨利潤8019.47萬元，同比增長59.07%。
有市場人士認為，在去年底的處罰決定落地之後，ST撫鋼已經符合撤銷風險警示的條件。但因ST撫鋼連續多年造假，事發之時股東人數眾多，如ST撫鋼虛假陳述案最終敗訴，將引起更多的受損投資者向公司索賠，未來對ST撫鋼損益產生的負面影響不容小覷。
