安井食品(02648.HK)預計7月4日上市 引入香港景林等多家基石
格隆匯6月25日丨安井食品(02648.HK)發佈公吿，公司擬全球發售3999.47萬股H股(視乎超額配股權行使與否而定)，中國香港發售股份399.95萬股，國際發售股份3599.52萬股；2025年6月25日至6月30日招股，預期定價日為7月2日；發售價將不高於66.00港元/股，每手買賣單位為100股，高盛及中金公司為聯席保薦人；預期股份將於2025年7月4日開始在聯交所買賣。
集團是中國速凍食品行業的龍頭企業，致力於在家庭、餐廳及外出用餐等多種消費場景中提供食品。根據弗若斯特沙利文資料，按2024年收入計，集團是中國最大的速凍食品公司，市場份額為6.6%。尤其是在速凍食品行業，2024年，集團在中國速凍調製食品市場排名第一，市場份額為13.8%，是第二名的約五倍；2024年，集團在中國速凍菜餚製品市場排名第一，市場份額為5.0%，超過該市場第二名至第四名的市場份額總和；2024年，集團在中國速凍面米制品市場排名第四，市場份額為3.2%。中國的速凍食品行業競爭激烈且分散，於2024年按收入計，五大參與者的市場份額合計為15.0%。
集團已訂立基石投資協議，據此，基石投資者已同意在遵守若干條件的情況下，按發售價認購或促使其指定實體認購總金額9000萬美元(或7.06億港元)可購入的發售股份數目。按發售價每股H股66.00港元(即最高發售價)計算，基石投資者將認購的發售股份總數將為1070.37萬股發售股份。基石投資者包括上海景林及華泰資本投資(與景林場外掉期有關)、景林資產管理香港有限公司(“香港景林”)、HT Investment Limited(“Hosen Capital”，Hosen Private Equity III, L.P.的全資子公司)、Torus Fund SP(“Torus”)、FCP Domains Co., Ltd.(“FCP Domains”)、NonaVerse (Hong Kong) Limited(“NonaVerse”)。
假設超額配股權未獲行使，並假設發售價為每股發售股份66.00港元(即最高發售價)，集團估計將自全球發售收取所得款項淨額約24.96億港元。根據集團的戰略，集團擬將全球發售所得款項按以下金額用於以下用途：約35.0%用於擴大銷售及經銷網絡；約35.0%用於提升採購能力，優化供應鏈並搭建供應鏈系統；約15.0%用於業務營運數字化；約5.0%用於產品開發及技術創新；以及約10.0%將撥作營運資金及一般公司用途。
