綠通科技(301322.SZ)擬收購大摩半導體不低於51%股權
格隆匯6月2日丨綠通科技(301322.SZ)公佈，2025年6月2日，公司與大摩半導體、大摩半導體股東喬曉丹、孫慶亞、王建安、南京芯能半導體技術合夥企業（有限合夥）、上海利卓信管理諮詢合夥企業（有限合夥）、上海壹坤電子科技有限公司（以下合稱“交易對方”）簽署《收購意向協議》，公司擬以現金方式收購大摩半導體不低於 51%股權從而實現控股大摩半導體之目的。標的公司100%股權的整體估值最終以評估報告和正式簽署的收購協議爲準。
標的公司專注於集成電路及半導體晶圓量檢測領域，致力於爲全球客戶提供再製造、升級改造與技術服務、自研設備的綜合解決方案，主要通過提供高穩定性、品類豐富的前道量檢測修復設備、配件及技術服務來滿足客戶的全方位需求。標的公司的產品目前以前道量檢測修復設備爲主，覆蓋了明暗場缺陷檢測設備、套刻儀、缺陷分析掃描電鏡、線寬掃描電鏡等主流品類，主要適用於 6 至 12 英寸晶圓產線，最高可支持 14nm 芯片製程工藝。同時，標的公司也致力於前道量檢測設備及核心組件的自主研發和芯片產線運維工作，部分自研產品處於客戶驗證階段。
大摩半導體系國內知名半導體前道量檢測修復設備企業之一，爲省級專精特新中小企業，主要通過提供多品類、多製程節點的前道量檢測修復設備、配件及技術服務來滿足客戶的全方位需求，得到了中芯國際、上海積塔、以色列的Tower Semiconductor、新加坡的 Global Foundries、臺積電等優質終端客戶的認可，在我國半導體量檢測修復設備領域具有較高的市場地位，並在自研設備方面取得了一定突破。標的公司始終注重技術積累，積極開展量測設備與晶圓精密加工設備的研發，加大向半導體設備領域的滲透力度，助力推進設備國產化。
公司擬通過本次收購實現從原有場地電動車單一業務向半導體領域拓展，符合公司長遠發展和戰略規劃。如本次收購實施成功，公司將納入半導體前道量檢測設備優質資產，實現向半導體領域的戰略轉型和產業升級，有利於公司實現多元化業務佈局，形成新的利潤增長點，提升公司盈利能力和持續經營能力，並提高公司的整體競爭力，符合國家產業政策和公司發展需求，符合公司和全體股東的利益。
