信邦智能(301112.SZ)：擬收購英迪芯微控股權 切入汽車芯片領域、5月20日起復牌
格隆匯5月19日丨信邦智能(301112.SZ)公佈發行股份、可轉換公司債券及支付現金購買資產並募集配套資金暨關聯交易預案，上市公司擬通過發行股份、可轉換公司債券及支付現金方式收購英迪芯微控股權，並募集配套資金。其中，募集配套資金以發行股份、可轉換公司債券及支付現金購買資產的成功實施爲前提，發行股份、可轉換公司債券及支付現金購買資產不以募集配套資金的成功實施爲前提，最終募集配套資金成功與否不影響本次發行股份、可轉換公司債券及支付現金購買資產的實施。
英迪芯微系國內領先的車規級數模混合信號芯片及方案供應商，主要從事車規級芯片的研發、設計和銷售。自2017年成立以來，英迪芯微聚焦汽車芯片的國產替代和技術創新，已成長爲國內少有的具備車規級芯片規模化量產能力的集成電路設計企業，在汽車芯片領域累計出貨量已經超過2.5億顆，2024年實現營業收入近6億元，其中車規級芯片收入佔比超過90%。本次交易完成後，根據公開披露的營收數據測算，上市公司預計在A股上市的車規級模擬及數模混合芯片供應商中排名第二，預計在A股上市的車規級數模混合芯片1供應商中排名第一。
上市公司與標的公司同屬汽車產業鏈，對汽車產業發展規律具備相近的理解。本次交易完成後，雙方將實現客戶資源的交叉共享，尤其是上市公司長期積累的日系客戶資源將有利於標的公司打開日系汽車芯片市場，同時上市公司將利用其全球化的業務平臺助推標的公司的出海進程，藉助標的公司的車規級電機控制驅動芯片探索在機器人、自動化裝備領域的核心電機控制驅動器的業務協同。與此同時，標的公司將依託上市公司的融資平臺和品牌效應，加大研發投入和吸引優秀人才，鞏固在汽車芯片領域的先發優勢，加快國產替代，實現高質量發展。
本次交易前，上市公司主要從事與工業機器人、協作機器人相關的智能化、自動化生產線及成套裝備等的設計、研發、製造、集成和銷售，下遊應用覆蓋汽車、航天航空、環保等領域。標的公司主要從事數模混合芯片的研發、設計及銷售，主要產品包括汽車照明控制驅動芯片、汽車電機控制驅動芯片、汽車傳感芯片、血糖儀芯片等，下遊應用領域主要爲汽車及醫療健康。
本次交易是上市公司圍繞汽車產業鏈，經過全面考察和深度思考，選擇了規模大、增速快且國產化率較低的汽車芯片賽道作爲投資併購方向，繫上市公司在熟悉的汽車領域尋求新質生產力、實現產業升級的重要舉措。上市公司可利用自身成熟的併購整合經驗，發揮雙方產業協同優勢。上市公司在原有工業機器人系統集成裝備或解決方案業務發展的同時切入汽車芯片領域，有助於直接改善上市公司資產質量、增強持續經營能力及抗風險能力，符合全體股東的利益。
根據深圳證券交易所的相關規定，經公司申請，公司股票(證券簡稱：信邦智能，證券代碼：301112)將於2025年5月20日(星期二)開市起復牌。
