華昊中天醫藥-B(02563.HK)預計10月31日上市 引入百洋醫藥等多家基石
格隆匯10月23日丨華昊中天醫藥-B(02563.HK)發佈公吿，公司擬全球發售1458.8萬股H股，中國香港發售股份145.88萬股，國際發售股份1312.92萬股；2024年10月23日至10月28日招股，預期定價日不遲於10月29日；發售價將為每股16.0-22.0港元，每手買賣單位為200股；建銀國際及中信建投國際為聯席保薦人；預期股份將於2024年10月31日開始在聯交所買賣。
公司是一家合成生物學技術驅動的生物醫藥公司，致力於開發腫瘤創新藥。自2002年成立以來，公司成功開發了專注於微生物代謝產物新藥研發的三大核心技術平台。截至最後實際可行日期，公司擁有一種已商業化產品及19種其他管線候選產品，優替德隆注射液為公司的單一核心產品。公司核心產品及19種候選產品中有16種乃基於單一活性藥物成分，即優替德隆，其在公司的產品組合中有三種製劑。公司核心產品及候選產品的現有臨牀試驗及項目涵蓋晚期乳腺癌(包括初期無法手術且無遠轉移的IIIB及IIIC期乳腺癌以及所有IV期乳腺癌)、晚期非小細胞肺癌(NSCLC)、乳腺癌新輔助治療、胃癌、食管癌、乳腺癌腦轉移、肺癌腦轉移、腦膠質瘤及其他實體瘤的適應症。
公司訂立四份基石投資協議，據此，基石投資者已同意在若干條件的規限下以若干投資金額按發售價認購若干數目的發售股份。假設發售價為每股發售股份19.0港元(即本招股章程所述發售價範圍的中位數)，基石投資者將認購的發售股份總數將為935.5萬股。基石投資者包括Novotech SG Holdings Pte. Ltd.(“Novotech SG”)、百洋健康產業國際商貿有限公司(“百洋健康”，由百洋醫藥(301015.SZ)全資擁有)、SilkyWater Absolute Return LPF(“SilkyWater Absolute Return”)、及富策控股有限公司。
假設發售價為每股發售股份19.0港元(即本招股章程所述指示性發售價範圍的中位數)，公司估計公司將獲得全球發售的所得款項淨額約為2.34億港元。公司擬將全球發售所得款項淨額約44.9%用於資助核心產品的進行中及計劃進行的臨牀試驗(主要包括委託臨牀研究中心開展臨牀試驗的費用、支付予CRO和SMO公司等供應商的研發費用、臨牀試驗所用原材料及耗材的成本、相關臨牀團隊的薪酬及福利，以及招募患者及聘用外部顧問的相關成本)；約38.9%將用於資助核心產品以外的進行中及計劃進行的臨牀試驗及產品臨牀前研究以及核心產品研究者發起試驗(主要包括委託臨牀研究中心開展臨牀試驗的費用、支付予CRO和SMO公司等供應商的研發費用、臨牀試驗所用原材料及耗材的成本、相關臨牀團隊的薪酬及福利，以及招募患者及聘用外部顧問的相關成本)；約3.0%將用於加強公司的國內商業化能力及建立公司的全球營銷網絡；約3.2%將用於擴大產能。具體而言，公司計劃改進公司在中國成都的生產設施的生產工藝及生產質量，併為優替德隆的新適應症建立生產能力；及估計所得款項淨額的約10.0%將用作營運資金及一般公司用途。
