黑芝麻智能(02533.HK)預計8月8日上市 引入廣汽集團及均勝電子作為基石
格隆匯7月31日丨黑芝麻智能(02533.HK)發佈公吿，公司擬全球發售股份3700萬股，中國香港發售股份185萬股，國際發售股份3515萬股，另有15%超額配股權；2024年7月31日至8月5日招股，預期定價日為8月6日；發售價將為每股28.00-30.30港元，每手買賣單位100股；中金公司及華泰國際為聯席保薦人；預期股份將於2024年8月8日開始在聯交所主板買賣。
公司是一家車規級計算SoC及基於SoC的智能汽車解決方案供應商。SoC是一種集成了包括中央處理器、內存、I/O接口及其他關鍵電子元器件的集成電路。車規級計算SoC賦能智能汽車關鍵任務功能。基於SoC的智能汽車解決方案集成了嵌入公司自主開發的ISP和NPU的IP核SoC、中間件和工具鏈的算法和支持軟件，以滿足廣泛的客户需求。公司設計了兩個系列的車規級SoC，華山系列高算力SoC及武當系列跨域SoC。公司從專注於自動駕駛應用的華山系列高算力SoC開始並將其商業化，並於近期推出武當系列跨域SoC，以從核心自動駕駛功能擴展至覆蓋對智能汽車等先進功能的更多樣化及複雜需求，例如智能座艙及汽車網關，均在單一SoC上實現。作為二級供應商，公司在自動駕駛價值鏈的中游營運，以基於SoC的捆綁式解決方案及基於算法的解決方案的形式提供自動駕駛產品及解決方案。根據弗若斯特沙利文的資料，按2023年車規級高算力SoC的出貨量計，公司是全球第三大供應商。
公司已訂立基石投資協議，據此，基石投資者已同意(在若干條件規限下)認購或促使彼等指定的實體認購可按發售價購買總額為990萬美元(或約7710萬港元)的發售股份數目。假設發售價為29.15港元(即本招股章程所載指示性發售價範圍的中位數)，基石投資者將認購的發售股份總數將為262.81萬股發售股份。基石投資者包括啟城發展有限公司(“啟城發展”，為廣汽集團(2238.HK/601238.SH)的間接全資附屬公司)；Joyson Electronic USA LLC(“Joyson Electronic USA”，為均勝電子(600699.SH)的全資附屬公司)。
假設發售價為每股發售股份29.15港元(即發售價範圍的中位數)，並假設發售量調整權及超額配股權未獲行使，公司預計將收取全球發售所得款項淨額約9.854億港元。根據公司的戰略，公司計劃將全球發售所得款項按下述金額用於下列用途：約80.0%或7.883億港元將在未來五年間用於公司的研發；約10.0%或9850萬港元將用於提高公司的商業化能力；及約10.0%或9850萬港元將用於營運資金及一般公司用途，尤其是採購存貨用於公司SoC量產。
