阿里影業(01060.HK)收購嘉利文化全部股權及東陽美拉70%股權

格隆匯7月23日丨阿里影業(01060.HK)公吿,於2023年11月13日,公司間接全資附屬公司中聯盛世與嘉利文化、華誼娛樂及華誼兄弟訂立買賣協議I,據此,中聯盛世同意購買而華誼娛樂同意出售於嘉利文化的全部股權(連同相關股東貸款),總代價為人民幣3.5億元。

於2024年7月23日,公司間接全資附屬公司北京阿里巴巴與東陽美拉、北京美拉、海南美拉及華誼兄弟訂立買賣協議II,據此,北京阿里巴巴同意購買而華誼兄弟同意出售於東陽美拉全部股權的70%,總代價為人民幣3.5億元。

嘉利文化主要從事物業控股。該物業包括華誼兄弟總部大樓(一座多功能辦公大樓,地址為北京市朝陽區新源南路第A2號)內的八個商業單位及二十九個停車位。該物業擁有可售面積9,871.67平方尺,其中1,919.11平方尺目前租予公司的獨立第三方,經營一家洗浴休閒中心,而餘下8,167.61平方尺目前投放於租賃市場上作辦公用途。

東陽美拉為一家根據中國法律成立的有限責任公司,其股權由華誼兄弟及馮小剛先生分別擁有70%及30%。東陽美拉主要從事製作及投資電影、電視劇及網劇。於交割II後,東陽美拉的股權將分別由北京阿里巴巴及馮先生擁有70%及30%,東陽美拉將成為公司的附屬公司,同時其財務業績將併入集團的財務報表。

北京美拉為一家根據中國法律成立的有限責任公司,東陽美拉擁有其全部股權。北京美拉主要從事廣播電視節目製作經營、電視劇發行、電影發行等業務。

海南美拉為一家根據中國法律成立的有限責任公司,東陽美拉擁有其全部股權。海南美拉主要從事廣播電視節目製作經營;電視劇製作等業務。

該物業位於北京市朝陽區的黃金地段,預期可為集團帶來穩定的租金收入,從而加強集團的現金流量。此外,集團將該物業視作一項長期投資,希望可自該物業獲取長期資本收益。

東陽美拉主要從事製作及投資電影、電視劇及網劇,與集團主營業務相若。另外,身為中國知名電影導演的馮先生亦是東陽美拉的股東。作為該收購事項的一部分,集團亦將與馮先生訂立合作協議II,訂明有關電影製作的未來合作計劃及戰略合作權益。因此,該收購事項符合集團戰略及業務利益,預期將進一步擴大集團的核心業務內容分部,並將拓展集團在中國文娛行業的版圖。
