百望股份招股了，為財税數字化解決方案商，阿里、復星入股
格隆匯獲悉，近期，百望股份有限公司（以下簡稱“百望股份”）已開啟招股，招股時間為6月28日起至本週四(7月4日)，預計7月9日在港交所主板掛牌上市，公司獨家保薦人為海通國際。
百望股份(06657.HK)此次計劃全球發售926.2萬股H股，每股發售價在36.00港元至40.00港元之間，每手100股。
成立於2015年的百望股份是一家企業數字化解決方案提供商，專注於通過百望雲平台提供SaaS財税數字化及數據驅動的智能解決方案。成立至今，公司獲得阿里巴巴、復星、深創投、東方富海、紅塔證券等機構的投資。
根據弗若斯特沙利文報吿，於2023年，按收入計，百望雲在中國雲端財税相關交易數字化市場排名第一，市場份額為7.1%；在中國財税相關交易數字化市場排名第二，市場份額為4.9%；百望雲的雲化解決方案，完成約7億次發票處理請求，在中國財税相關交易數字化解決方案提供商中排名第一。
中國為數眾多的企業、巨大的交易量及對數字化的需求，促成了中國交易數字化市場的增長動能，按收入計，市場規模從2019年的1283億元增至2023年的2144億元，複合年增長率為13.7%，預計2028年將進一步增至3926億元，即2023年至2028年的複合年增長率為12.9%。
從營收構成看，雲化財税數字化解決方案和數據驅動的分析服務是公司重要收入來源。
業績方面，2021年、2022年以及2023年，公司收益分別約為4.54億元、5.26億元、7.13億元，同期對應虧損淨額約為4.48億元、1.56億元及3.59億元，3年虧損合計超9億元。
2021年、2022年以及2023年，公司毛利率分別為47.6%、40.8%、39.6%。
招股書顯示，百望股份在上市後的股東架構中，控股股東陳杰持股25.98%、通過控制寧波修安、天津多盈(員工激勵平台)分別持股8.85%、6.61%，合共控制約41.44%的投票權。
另外，阿里巴巴、復星國際也是公司重要股東。
百望股份在招股章程中表示，本次IPO，公司募資淨額約2.46億港元(假設按發售價中位數定價)。其中，約31.5%將用於升級及增強集團解決方案的功能及特性，並進一步擴展集團的解決方案組合；約29.4%將用於提升研發能力；約19.3%將用於發展集團的銷售及營銷計劃；約11.5%將用於集團的業務協同，並有選擇地尋求與集團的業務互補或協同的戰略投資及收購機會；約8.3%將用作營運資金及其他一般企業用途。
