紫金礦業(02899.HK)擬發行本金總額20億美元可換股債券
格隆匯6月18日丨紫金礦業(02899.HK)發佈公吿，2024年6月17日，公司(作為擔保人)、發行人(金極資本有限公司，為公司的全資附屬公司)及經辦人訂立認購協議。經辦人同意在認購協議所載的條款及條件規限下，個別且並非共同地認購及支付或促使認購人認購及支付發行人將予發行本金總額達20億美元的債券(建議根據一般性授權發行於2029年到期的20億美元1.0%有擔保可換股債券)，且公司已無條件及不可撤銷地擔保根據擔保契據的條款妥善準時支付信託契據及債券項下發行人明確應付的所有款項。
債券可按初始轉換價每股H股19.84港元(可予調整)轉換為H股。初始轉換價為每股H股19.84港元，較6月17日(即簽署認購協議的交易日)收市價16.32港元溢價約21.57%。假設按初始轉換價每股H股19.84港元悉數轉換債券，債券將可轉換為約7.87億股H股，相當於本公吿日期的現有已發行H股數目約13.72%及現有已發行股份數目約2.99%，以及經於悉數轉換債券後因發行轉換股份而擴大的已發行H股數目約12.07%及已發行股份數目約2.90%。待完成債券發行後，債券認購事項的所得款項淨額將約為19.79億美元。
2024年6月18日，公司與配售代理訂立配售協議，據此，配售代理已有條件同意促使不少於六名承配人(其為專業、機構及其他投資者)購買或(倘未能如此)自行購買最多達合共2.519億股配售股份，配售價為每股配售股份15.50港元。
配售項下為數2.519億股配售股份相當於本公吿日期的現有已發行H股數目約4.39%及現有已發行股份數目約0.96%，以及經配發及發行配售股份擴大的已發行H股數目約4.21%及已發行股份數目約0.95%。配售價每股配售股份15.50港元較6月17日收市價16.32港元折讓約5.02%。待配售完成後，預期配售的所得款項淨額將約為38.71億港元。
