速騰聚創(02498.HK)預計2024年1月5日上市 引入南山戰略新興產業投資作為基石
格隆匯12月27日丨速騰聚創(02498.HK)發佈公吿，公司擬全球發售2290.98萬股股份，中國香港發售股份229.1萬股，國際發售股份2061.88萬股，另有15%超額配股權；2023年12月27日至2024年1月2日招股；發售價將為每股發售股份43.00港元，每手買賣單位100股；摩根大通及華興資本為聯席保薦人；預期股份將於2024年1月5日於聯交所主板掛牌上市。
公司是激光雷達及感知解決方案市場的全球領導者。通過硬件和軟件的整合，公司有別於市場上大多數激光雷達純硬件廠商。激光雷達通過融合視覺或其他傳感器的感知解決方案可以賦予汽車和機器人感知能力。公司圍繞芯片驅動的激光雷達硬件為基礎，同時佈局人工智能感知軟件形成解決方案，推動市場探索應用的場景，引領行業實現大規模商業化。公司的業務主要包括銷售應用於ADAS、機器人及其他非汽車行業(如清潔、物流、工業、公共服務及檢驗等)的激光雷達硬件產品；銷售整合激光雷達硬件及人工智能感知軟件的激光雷達感知解決方案；及提供技術開發及其他服務。
公司已訂立基石投資協議，據此，基石投資者已同意在若干條件的規限下按發售價認購或促使經中國相關機關批准的合資格境內機構投資者(“QDII”))認購可購買總金額為1億美元(約7.81億港元)的若干數目發售股份。基石投資者基於發售價每股發售股份43.00港元將認購的股份總數將為1816.6萬股。基石投資者深圳市南山戰略新興產業投資有限公司(“南山戰略新興產業投資”)已同意以發售價可認購總金額為1億美元的有關股份數目。
基於發售價每股股份43.00港元，假設超額配股權未獲行使，公司估計將自全球發售收取所得款項淨額約8.77億港元。公司擬將全球發售所得款項淨額約45%用於研發，持續建立並優化公司的產品管線以及團隊擴展以支持公司的研發計劃；所得款項淨額約20%預計將用於提升製造、測試及驗證能力。公司計劃升級及投資現有製造設施，以支持公司不斷增加的銷售訂單；所得款項淨額約20%預計將用於加強公司的銷售和營銷工作，包括在國內和美國及德國等海外國家聘請擁有豐富經驗的銷售和營銷人員，以促進公司與國內及全球汽車整車廠及一級供應商的業務合作；所得款項淨額約5%預計將用於探索潛在的戰略合作關係或聯盟機遇；及所得款項淨額約10%預計將用於營運資金及一般企業用途，以支持公司的業務營運及增長。
