優必選(09880.HK)預計12月29日上市 引入亦莊國際作為基石
格隆匯12月19日丨優必選(09880.HK)發佈公吿，公司擬全球發售1128.2萬股股份，中國香港發售股份112.82萬股，國際配售股份1015.38萬股，另有15%超額配股權；2023年12月19日至12月22日招股，預期定價日為12月27日；發售價將為每股發售股份86.0-116.0港元，每手買賣單位50股；國泰君安國際為獨家保薦人；預期股份將於2023年12月29日於聯交所主板掛牌上市。
優必選科技為一家總部位於中國的知名機器人公司，致力於智能服務機器人及智能服務機器人解決方案的設計、生產、商業化、銷售及營銷以及研發。公司的產品在不同程度上配備了感知、交互、分析及處理人類指令及外部環境(如建圖、温度測量及人臉識別)的智能功能，範圍涵蓋消費級機器人及電器，針對教育、物流及其他行業定製的企業級智能服務機器人及智能服務機器人解決方案。根據弗若斯特沙利文的資料，於2022年，公司在中國智能服務機器人及智能服務機器人解決方案產業排名第三(按收入計)，市場份額為2.8%；且於2022年，公司為中國第一大教育智能機器人及智能機器人解決方案供應商(按收入計)，市場份額為22.5%。
公司已簽訂基石投資協議，據此，基石投資者已同意，待特定條件滿足後，按發售價認購若干數目的發售股份。假設發售價為101.0港元，即本招股章程所載指示性發售價範圍的中位數，則基石投資者認購的發售股份總數將為539.455萬股。基石投資者為亦莊國際控股(香港)有限公司(“亦莊國際”)。
假設發售價為每股H股101.0港元(即指示性發售價範圍的中位數)，及超額配售權未獲行使，全球發售所得款項淨額估計約為10.289億港元。根據公司的業務策略，公司擬將所得款項淨額約47.0%用於進一步提升公司的研發能力以加強公司的核心技術、智能服務機器人及智能服務機器人解決方案供應；約19.4%將用於償還部分銀行貸款；約7.9%將用於升級公司於深圳研發中心的研發實驗室，以加強公司的研發基礎設施，從而提高研發實力及效率；約9.5%將用於拓展境外銷售渠道，以提升公司的品牌知名度及市場滲透率；約6.2%將用於為購買企業資源規劃(ERP)系統、產品生命週期管理(PLM)系統、人力資源管理(HCM)系統、客户關係管理(CRM)系統及智慧倉儲雲平台(WMS)系統等多個系統提供部分資金，以進一步優化公司的管理及營運效率；以及所得款項淨額的約10.0%將用於營運資金及其他一般公司用途。
