艾迪康控股(09860.HK)預計6月30日上市 引入邁瑞醫療等多家基石
格隆匯6月19日丨艾迪康控股(09860.HK)發佈公吿，公司擬全球發售3319.25萬股股份，其中中國香港發售股份332萬股，國際發售股份2987.25萬股，另有15%超額配股權；2023年6月19日至6月23日招股；發售價將為每股發售股份12.32港元，每手買賣單位500股，入場費約6222港元；聯席保薦人為摩根士丹利及Jefferies；預期股份將於2023年6月30日於聯交所主板掛牌上市。
根據弗若斯特沙利文的資料，按往績記錄期間總收益計，公司為中國三大獨立醫學實驗室(或ICL)服務提供商之一。於往績記錄期間，公司的業務高速增長，總收益由2020年的人民幣2,741.7百萬元增至2022年的人民幣4,860.6百萬元，複合年增長率為33.1%。公司主要透過遍佈全國的33個自營實驗室組成的集成網絡為醫院和體檢中心提供豐富且一流的檢驗服務。公司高質量的服務以公司按國際認可及全面檢測範圍計的出色表現為基礎。截至2022年12月31日，公司有18個實驗室通過ISO15189認可，從而確保公司為客户提供遵守此嚴格國際標準的質量保證。截至2022年12月31日，公司的檢測組合包括4000多種醫療診斷檢驗，其中包括1700多種普檢及2300多種特檢。於往績記錄期間，公司的檢測量從2020年的6010萬次增至2022年的1.649億次，複合年增長率為65.6%。作為中國領先的ICL服務提供商，公司致力為患者及社會大眾持續提供高質量的檢驗服務，併成為醫療專業人士及社會大眾值得信賴與可靠的合作伙伴。
公司已訂立基石投資協議，基石投資者已同意按發售價認購或促使其指定實體認購以總額約3717萬美元(或約2.91億港元)可購買的數目的發售股份。根據發售價12.32港元，基石投資者將認購的發售股份總數為約2364.7萬股。基石投資者包括邁瑞全球(香港)有限公司(“邁瑞全球”)、香港新產業生物有限公司(“香港新產業”)、復星診斷科技(上海)有限公司(“復星診斷”)、Timestar Elite Limited(“Timestar Elite”)、以及Corelink。
公司估計，假設超額配股權未獲行使及基於發售價為每股股份12.32港元，公司將自全球發售收取所得款項淨額約8390萬港元。其中所得款項淨額的15%擬用於加強公司的普檢及特檢能力，包括研發以及銷售及營銷能力；約25%通過新建實驗室、合夥投資及開發新渠道用於網絡拓展；約25%為業務開展工作與行業參與者形成戰略合作及戰略性及附加收購機會；約15%用於升級及擴大公司的現有實驗室；約10%用於投資營運基礎設施，包括物流設施、人工智能技術及信息技術基礎設施；以及所得款項淨額的10%作營運資金及一般企業用途。
