上海機場(600009.SH)：擬設合資公司併購買相關線下免税品、線上保税進口商品業務等等資產 實現“機場+免税”進一步融合
格隆匯1月13日丨上海機場(600009.SH)公佈，為了增強公司非航業務板塊競爭優勢，積極主動順應國內免税旅遊行業發展趨勢，公司決定與上海機場投資有限公司(“投資公司”)設立合資公司並下設香港公司，並以香港公司為主體受讓交易對手方Phoenix Dawn所持有的Uni-Champion32.00%已發行股份，其穿透後的核心資產為日上免税行(上海)有限公司、日上免税行(中國)有限公司、中免集團北京首都機場免税品有限公司、中免集團北京大興國際機場免税品有限公司(以下分別簡稱“日上上海”、“日上中國”、“中免首都”、“中免大興”，以下合稱“標的公司核心資產”)15.68%股權或權益。穿透後的核心資產主要從事上海虹橋國際機場、上海浦東國際機場(以下合稱“上海兩場”)、北京首都國際機場及北京大興國際機場(以下合稱“北京兩場”)的線下免税品銷售經營業務、上海和北京市內免税經營業務及線上保税進口商品銷售經營業務。
公司決定通過合資公司為主體受讓交易對方天津博裕所持有的日上互聯12.48%股權。日上互聯主要從事線上電商平台的專業化運營服務。
此次交易完成後，上海機場將進一步發揮與標的公司核心資產的協同效應，通過佈局線下免税品銷售及線上保税進口商品銷售經營業務打造上海機場特色品牌，實現“機場+免税”的進一步融合，推動航空服務主業做大做強，在提升上海機場服務品質的同時，增強上海機場的抗風險能力，從而形成機場運營投資可持續發展的良性循環。
此次交易總投資金額為16.98億元，包含標的公司交易對價169203.2萬元以及合資公司、香港公司所需營運資金596.8萬元。此次交易公司出資13.584億元，出資額佔比80%。
此次交易完成後，公司將持有新設合資公司80%的股權，並通過合資公司間接控制Uni-Champion 32%已發行股份及日上互聯12.48%股權。
