澳亞集團(02425.HK)預計12月30日上市 引入現代牧業等作為基石
格隆匯12月16日丨澳亞集團(02425.HK)發佈公吿，公司擬全球發售3064萬股股份，其中中國香港發售股份306.4萬股，國際發售股份2757.6萬股，另有15%超額配股權；2022年12月16日至12月21日招股，預期定價日為12月21日；發售價將不會超過每股發售股份7.00港元，每手買賣單位1000股，入場費約7071港元；中金公司及DBS為聯席保薦人；預期股份將於2022年12月30日於聯交所主板掛牌上市。
根據弗若斯特沙利文的資料，集團是中國前五大奶牛牧場運營商之一，於2021年，按原料奶的銷量、銷售額及產量計，集團在中國所有奶牛牧場運營商中分別排名第三、第四及第五，市場份額分別為1.6%、1.8%及1.7%。集團為多元化的下游乳製品製造商客户羣提供優質原料奶。集團擁有多元化客户羣，覆蓋全國及地區領先的乳製品製造商(包括蒙牛、光明、明治、君樂寶、新希望乳業、佳寶及卡士)及新興乳製品品牌(如元氣森林及簡愛)，且集團不依賴控股股東作為下游客户。集團因能夠大規模穩定供應優質及可溯源的原料奶而受客户認可，這使集團的客户能夠推廣其滿足終端客户需求的各種高端乳製品。於2019年、2020年及2021年以及截至2021年及2022年6月30日止六個月，集團生產了約56.54萬噸、58.28萬噸、63.88萬噸、29.83萬噸及35.92萬噸的原料奶。
根據弗若斯特沙利文的資料，集團是中國第一家設計、建設及運營規模化及標準化萬頭奶牛牧場的奶牛牧場運營商。憑藉傳承自母公司佳發集團自1997年以來在印度尼西亞開展相關業務的經驗獲得的專業技術及專業知識，集團於2009年開始在中國運營自己的奶牛養殖業務。截至最後實際可行日期，集團在中國擁有及經營十個奶牛牧場，總佔地面積約為1.47萬畝。截至2022年6月30日，集團的奶牛總存欄量為11.14萬頭，其中5.74萬頭為成母牛。
公司已與訂立基石投資協議。根據國際發售及作為國際發售的一部分，公司已同意按發售價向基石投資者發行、配發及配售可以合共約1.556億港元認購的相應數目發售股份。基石投資者包括現代牧業(01117.HK)的間接全資附屬公司全誠、Proterra Asia Food Fund 3 VCC(代表及為其子基金 Proterra Asia Food Fund 3 LP SF行事)。
公司將收取的全球發售所得款項淨額(假設超額配股權未獲行使)為約9930萬港元(假設發售價為6.40港元(即發售價範圍的中位數))。公司擬將全球發售所得款項淨額9930萬港元用於為醇源牧場4(牧場12)建造牧場設施及購買設備，該等建設預計將於2023年4月開始動工，並預計可於2024年11月前達到全面產奶規模。主要設施及設備將包括兩套擠奶設備；37台奶牛飼養車輛設備；降温設備及其他養殖輔助設備和設施；牛糞處理設施；檢測及檢驗設備；發電設備；及後勤保障設備及設施。該牧場位於山東省，預計總存欄量為1.25萬頭奶牛，產奶規模為5700頭奶牛。達到全面產奶規模後，該牧場預計將生產原料奶約8萬噸╱年，這將使集團的原料奶總產量增加13%。
