衞龍(09985.HK)預計12月15日上市 引入陽光人壽保險等基石
格隆匯12月5日丨衞龍(09985.HK)發佈公吿，公司擬全球發售9639.7萬股股份，其中中國香港發售股份963.98萬股，國際發售股份8675.72萬股，另有15%超額配股權；2022年12月5日至12月8日招股，預期定價日為12月8日；發售價將為每股發售股份10.40-11.40港元，每手買賣單位200股，入場費約2303港元；摩根士丹利、中金公司及瑞銀集團為聯席保薦人；預期股份將於2022年12月15日於聯交所主板掛牌上市。
集團是中國領先的辣味休閒食品企業，擁有強勁的增長勢頭。根據弗若斯特沙利文的資料，按2021年零售額計，集團在中國所有辣味休閒食品企業中排名第一，市場份額達到6.2%，且在調味面製品及辣味休閒蔬菜製品細分品類的市場份額均排名第一。衞龍是中國倍受年輕消費者喜愛的休閒食品品牌。根據弗若斯特沙利文的資料，集團95.0%的消費者年齡在35歲及以下，55.0%的消費者年齡在25歲及以下；同時，集團是中國知名度最高、最受消費者喜愛的辣味休閒食品品牌，而且就品牌知名度而言，集團是25歲及以下年輕人心目中休閒食品的第一品牌。集團致力於讓中國傳統美食娛樂化、休閒化、便捷化、親民化，以及推出更多辣味休閒食品，為消費者創造愉悦的消費體驗。
集團致力於使用大豆、麪粉及海帶等大眾食材為主，秉承“以工業化思維，讓美食原點的價值最大化釋放”的產品開發理念。憑藉集團的品類拓展能力，近年來，集團已成功拓展到蔬菜製品和豆製品等品類，推出了包括“風吃”和“親嘴燒”系列等多種品牌。2021年，集團有兩個品類(即調味面製品及蔬菜製品)的年零售額超過人民幣10億元；其中四個單品(即大面筋、魔芋爽、親嘴燒及小麪筋)的年零售額均超過人民幣5億元。
集團已訂立基石投資協議，據此，基石投資者已同意在若干條件的規限下，按下表所載發售價認購或促使彼等指定的實體認購相關數目的發售股份。假設發售價為每股10.90港元(即本招股章程所列指示性發售價範圍的中位數)，基石投資者將予認購的發售股份總數將為5284.54萬股。基石投資者包括Media Global(由分眾傳媒(002027.SZ)創始人及董事長江南春最終控制)、陽光人壽保險以及Prospect Bridge。
假設發售價為每股10.90港元並假設超額配售權未獲行使，集團估計將收取全球發售所得款項淨額約9.355億港元。集團擬將全球發售所得款項淨額約57.0%用於擴大和升級集團的生產設施與供應鏈體系，以在未來三至五年提高集團的產能、倉儲管理和產品質量；約15.0%將用於在未來三至五年進一步拓展銷售和經銷網絡；約10.0%將用於未來三至五年的品牌建設；約10.0%將用於未來三至五年的產品研發活動以及提升研發能力；及所得款項淨額的約8.0%將用於在未來三至五年推進集團業務的數智化建設。
