嘉利國際(01050.HK)行使認股權證及將於泰國對T.Krungthai Industries Public Company提收購要約
格隆匯9月30日丨嘉利國際(01050.HK)公吿，於2022年9月30日，公司的全資附屬公司嘉利汽車行使認股權證以認購1.13億股認股權證目標公司T.Krungthai Industries Public Company Limited的股份，行使價為每股目標股份1.7泰銖。
行使認股權證前，嘉利汽車擁有2378萬股目標股份，佔目標公司已發行股本約10%。緊隨行使認股權證及行使完成後，嘉利汽車於目標公司的持股量將為1.37億股目標股份，佔經發行認股權證目標股份擴大的目標公司已發行股本約38.99%。
根據泰國資本市場監督委員會通知ThorJor. 12/2554號，關於：在業務收購中收購證券的規則、條件及程序，由於嘉利汽車將擁有目標公司總投票權的逾25%，嘉利汽車將須提出收購要約，以收購嘉利汽車未擁有的全部已發行及流通在外目標股份。
假設目標公司的股本並無其他變動，行使認股權證後的已發行目標股份總數為3.5億股目標股份。目標公司的若干股東已向嘉利汽車提交一份函件以表達其意向，表示彼等不會根據收購要約向嘉利汽車出售目標股份。該等股東於本公佈日期所持有的非銷售目標股份總數為1.42億股目標股份，佔經發行認股權證目標股份擴大的目標公司已發行股本約40.45%。
因此，於本公佈日期，要約目標股份總數為7212.6萬股目標股份，佔經發行認股權證目標股份擴大的目標公司已發行股本約20.56%。收購要約下的要約價為每股目標股份現金1.99泰銖。
目標公司是一間在泰國證券交易所上市的泰國公司(股份代碼：TKT.BK)，主要從事塑膠零件產品和塑膠零件模具製造業務，以及模具維修業務。目標公司的產品可分類為注塑模具（即為汽車、電器及其他行業生產塑膠零件）、模具設計、生產及維修。
公司認為，上述收購事項符合集團的業務發展。目標公司於注塑及模具製造領域擁有多年經驗，在當地市場擁有豐富的商業網絡資源，收購事項將進一步增加集團於目標公司的股權，此舉有利加強集團在泰國生產基地的管理，以及加快生產供應鏈的戰略部署，能更好地服務集團現有及潛在的客户。除此之外，透過集團與目標公司的緊密合作，雙方將在汽車零部件領域加強合作，共同尋求發展新機遇，從而增強集團在市場上的競爭力，同時有助長期穩定發展，為股東獲取更佳回報。
