南亞新材(688519.SH)：董事耿洪斌及董高張東違規減持並致歉
格隆匯9月16日丨南亞新材(688519.SH)公佈，公司董事耿洪斌及董事、高級管理人員張東通過集中競價減持公司股份，上述集中競價減持價格低於公司發行價，違反了董事耿洪斌及董事、高級管理人員張東在《首次公開發行股票並在科創板上市招股説明書》中做出的承諾。
2022年5月14日，公司披露了《南亞新材董監高提前終止集中競價減持股份計劃暨減持結果公吿》(2022-033)，其中董事耿洪斌於2022年4月15日至2022年5月13日通過集中競價交易減持公司股份共計49,700股，減持價格區間為27.92~28.84元/股，佔公司當時總股本0.021%。減持已計劃實施完畢。
2022年9月16日，公司披露了《南亞新材股東及董監高集中競價減持股份數量過半暨減持進展公吿》(2022-079)，董事、高級管理人員張東於2022年9月10日至2022年9月14日通過集中競價交易減持公司股份264,464股，減持價格區間為22.46~22.78元/股，佔公司最新總股本0.113%。減持計劃尚未實施完畢。
上述集中競價減持價格低於公司發行價，違反了董事耿洪斌及董事、高級管理人員張東在《首次公開發行股票並在科創板上市招股説明書》中做出的“鎖定期屆滿後，本人擬減持南亞新材股份的，應按照相關法律、法規、規章、規範性文件及上海證券交易所的相關規定進行減持，且不違背本人已作出的承諾，減持方式包括二級市場集中競價交易、大宗交易或其他上海證券交易所認可的合法方式。鎖定期屆滿後兩年內，如本人為南亞新材董事或高級管理人員，且擬減持南亞新材股份的，減持價格根據當時的二級市場價格確定，且不低於發行價，並應符合相關法律、法規、規範性文件及上海證券交易所的相關規定；”的承諾。
上述事項發生後，董事耿洪斌及董事、高級管理人員張東向公司通報了有關情況，對此次疏忽行為進行了深刻的自查反省，並對此給公司及市場帶來的不良影響表示誠摯歉意，今後將進一步加強法律法規、規範性文件的學習，嚴格遵守相關承諾事項，防止類似事情再次發生。
