赤峯黃金(600988.SH)：與廈門鎢業簽署資源開發戰略合作框架協議、涉及稀土資源
格隆匯8月12日丨赤峯黃金(600988.SH)公佈，2022年8月12日，公司與廈門鎢業在雲南省昆明市簽署了《資源開發戰略合作框架協議》。
甲方：廈門鎢業，乙方：赤峯黃金；乙方控股子公司萬象礦業有限公司(“萬象礦業”)享有包括Sepon礦區在內的合計1,247平方公里範圍內的礦產資源勘探及開採的獨佔權利。Sepon礦區南部發現離子型稀土礦，並進行了勘探工作，取得部分勘探成果，乙方擬自主開發或與其他方合作開發。
合作內容如下：雙方本着平等互利、優勢互補原則，經友好協商，甲乙雙方就共同開發稀土資源事宜，達成本協議，以資共同遵守。
1、雙方認可，老撾投資環境良好，老撾的地質、氣候等自然條件為離子吸附型稀土礦的形成和開發創造了有利條件，近年來老撾在稀土勘查工作方面取得了較大進展，具有良好的稀土資源開發潛力，在老撾投資開發稀土資源具有廣闊前景。
2、雙方認為，雙方優勢互補、強強聯合，具有較好的合作前景。甲方是國務院批准設立的國家稀土集團之一，建成了完整的稀土產業鏈，在稀土資源的綠色高效開發和深加工領域居於行業領先地位；乙方在老撾具有國際化礦山運營的成功經驗，並獲得當地政府的肯定與支持，與 Lao Mining Development StateEnterprise(老撾礦業發展國有公司)和 Douangchaleun Development Company (DDC)成功簽署了合作協議，在老撾境內進行金、銅及稀土等資源的合作勘探工作。
3、雙方認為，雙方的合作將有利於老撾稀土資源的科學開發，有利於老撾稀土資源的綠色高效利用，有利於實現政府、企業和社區的多方共贏。
4、雙方同意擬設立合資公司，其中甲方佔49%，乙方佔51%。合資公司專注於開發老撾稀土資源，具體成立地點、註冊資金、出資方式、董事會構成等合資公司成立及運營管理的詳細事宜由雙方另行約定。雙方分別指派專門人員組成工作小組，負責合資公司組建事宜。
5、雙方同意，乙方對Sepon礦區內南部西區花崗巖地區35.8平方公里範圍內的稀土資源可進行自主開發或與其他方合作方開發。
6、雙方同意，除上述第五條外，甲乙雙方在老撾開展稀土資源業務領域互為唯一戰略合作伙伴，任何一方不單獨尋求其他合作方。合資公司將承接雙方現有與第三方的擬合作項目，並作為未來雙方在老撾運營稀土資源開發的唯一平台。等等
