渣打(02888.HK)擬發行12.5億美元永久後償或有可轉換證券
渣打集團(02888.HK)公布,擬於8月15日發行總值12.5億美元固定利率重設永久後償或有可轉換證券,如悉數轉換涉約1.7億股,佔擴大後已發行普通股股本約5.4%。每股轉換價為7.333美元。證券之面值為20萬美元,超出部分會以1,000美元的整數倍數計算。
證券利率將於每個重設日期重新設定,由今年8月15日至2028年2月15日止將根據固定利率年息7.75厘計息,首個重設日期為2028年2月15日。
公司擬將發行證券所得款項淨額約12.39億美元用於集團的一般業務目的,包括但不限於回購或再融資現有債務,並進一步強化集團的監管資本基礎。
此外,渣打將申請證券納入倫敦證交所之國際證券市場進行買賣。公司亦將向聯交所申請批准任何轉換證券後發行的普通股上市及買賣。
