揚科集團(01460.HK)附屬揚科資訊科技作為授予人訂立期權契據
格隆匯7月29日丨揚科集團(01460.HK)公吿，於2022年7月29日，揚科資訊科技（公司的間接非全資附屬公司）作為授予人訂立期權契據，據此，揚科資訊科技已向承授人Leading Talent Group Limited授出期權。期權可於期權期內透過發出期權通知全部或部分行使，以按每股B類股份0.01港元的行使價認購最多86,957股B類股份。
行使期權須符合以下時間表及條件：(1)承授人可於期權期內的任何時間根據期權契據的條款及條件行使部分期權，以認購最多41,667股B類股份，即公司經配發及發行基本B類股份擴大的股本的4%，而不附任何額外行使條件。
(2)承授人可於期權期內的任何時間行使剩餘期權，以認購超過基本B類股份的餘下B類股份，其百分比率按由3名相關員工組成的銷售團隊於2022年4月1日至2025年3月31日期間各財政年度為公司貢獻的除税後溢利的實際累計金額，減去相關僱員於截至2022年3月31日止財政年度貢獻的實際除税後溢利，然後除以分母計算得出。在任何情況下，B類股份的最高數量不得超過經配發及發行全部B類股份擴大後公司已發行股本的8%，即86,957股B類股份。
假設期權獲悉數行使，揚科資訊科技普通股的投票權仍分別由公司間接持有及Raceline Holdings Limited直接持有51%及49%，而收取股息及分派的權利將分別攤薄至46.92%及45.08%，承授人將有權獲得最多8%的揚科資訊科技董事會將宣佈的任何股息及分派。
由於揚科資訊科技主要為企業及機構客户提供項目及長期服務，因此在很大程度上依賴其銷售團隊以量身定製的方式推廣其服務，並密切跟進各個潛在或現有客户的特定及變化需求，以獲得客户聘用。指定銷售團隊包括擁有承授人公司的3名僱員，彼等曾任職於其他知名及具規模的市場參與者，並擁有豐富的行業經驗及揚科資訊科技過往未必能夠觸及的強大客户網絡，並一直展現彼等與客户建立建設性關係及為揚科資訊科技獲得訂單的技能及能力。
公司在檢討其業務表現及制定改善銷售的策略以進一步提升盈利能力時認為，若向相關銷售人員提供更多獎勵及激勵彼等為揚科資訊科技作出貢獻及儘量提升盈利能力，將有利於集團。公司已考慮多項獎勵及激勵安排，例如支付現金花紅或根據公司採納的購股權計劃授出購股權。然而，監於相關員工的背景及戰略價值，以及彼等對作為公司主要收入來源之一的揚科資訊科技的長期增長作出貢獻的能力，公司認為僅得現金花紅未必足以激勵相關僱員於揚科資訊科技留任；此外，公司股份的表現及價值可能受有關公司及整個市場的各種因素影響。
由於相關銷售團隊為揚科資訊科技層面招聘，其工作職責與揚科資訊科技密切相關，公司在審慎考慮及與相關僱員公平磋商後，認為在揚科資訊科技層面配發及發行B類股份為最佳選擇，可大大激勵相關僱員直接為揚科資訊科技作出貢獻，因而有利於公司及股東的整體利益。
