康健國際醫療(03886.HK)擬4.76億港元收購香港知名綜合私人醫療服務供應商全部股權
格隆匯7月12日丨康健國際醫療(03886.HK)發佈公吿，2022年7月11日，買方(公司間接全資附屬公司)及賣方人士訂立購股協議，據此，賣方已同意以總代價4.76億港元出售目標公司(即Central Medical Holdings Limited)全部已發行股本。其中3.56億港元將由公司於完成日期向賣方代名人發行可換股債券支付；及1.2億港元將由買方於完成日期以現金向賣方支付。
假設可換股債券按初始換股價悉數轉換，則最多將發行約4.68億股換股股份，相當於該公吿日期已發行股本約6.22%；及經配發換股股份擴大已發行股本約5.86%。換股價為每股0.76港元，較購股協議日期收市價0.495港元溢價約53.54%。
公吿表示，目標集團為香港知名綜合私人醫療服務供應商，於2014年透過成立其醫療管理服務業務開展其業務營運。2017年，該業務主要專注於提供醫療服務，並於2017年成立一個一站式醫療業務平台。目標集團提供14種醫療專科的醫療及臨牀服務，包括呼吸系統科、心臟科、腦神經科、老年科及精神科。截至該公吿日期，目標集團經營三間醫務中心、兩間影像及診斷中心以及一間實驗室。
收購事項將讓集團增加其市場份額，擴大其醫療團隊，並進一步鞏固集團在香港私營醫療服務領域的地位。收購事項與集團於香港私營醫療服務領域的增長及整合策略一致。集團旨在根據實際營運狀況及社區需求，繼續優化全科醫療服務、專科服務及牙科服務的醫務中心網絡。全科醫療服務方面，醫務中心是診療過程中個人與家庭的第一聯繫點。集團旨在繼續優化香港醫務中心的網絡佈局，為市民在其居住及工作的社區提供便捷的綜合醫療服務，並繼續招聘醫療人才及提升服務質素，以鞏固其於基層醫療服務市場的地位。專科服務方面，集團將根據市場需求加快發展熱門專科，以滿足市民在醫療負擔能力提升下對私營專科醫療服務日益增長的需求，為疫情過後的未來醫療旅遊鋪路。
集團矢志發掘及培養優秀的醫療人才，把握香港中小型醫療診所整合的趨勢，招聘經驗豐富的醫生、牙醫及附屬服務人員加入團隊，聚集精英人才，發揮他們在不同領域的專長，為患者提供可靠、靈活及全面的醫療服務。董事相信，集團在香港的領先市場地位不僅將推動香港整體私營醫療服務業在醫療服務質素及醫療管理服務方面的發展，亦將提升香港作為在亞洲提供最優質的專科醫療服務及專職醫療服務樞紐的地位，並作為領先治療及技術的開發者及早期採用者。此外，由於目標集團在過去幾年的良好往績記錄以及賣方人士已作出溢利保證，集團預期投資於目標公司的潛在回報將對集團的財務業績作出積極貢獻。
