鼎石資本(00804.HK)：公司股份買賣協議已終止及失效 要約期結束
格隆匯7月7日丨鼎石資本(00804.HK)公吿，於2021年9月30日，兩名賣方與買方富盈國際發展有限公司訂立買賣協議，買方已有條件同意收購銷售股份（其中14.62億股股份來自第一賣方，而8.02億股股份則來自第二賣方）（相當於公司在本聯合公吿日期已發行股本總額約50.18%），總現金代價為1.8億港元，即每股銷售股份0.07934港元。
根據買賣協議，完成須待成交條件達成及於完成時仍然維持達成後，方可作實。倘任何成交條件於最後截止日期（即2022年6月30日下午5時正）或之前尚未達成或獲豁免，則買賣協議將吿失效，且不再具任何效力（除其中規定的條款外），而買賣協議的任何訂約方不得向其他訂約方提出任何索償或承擔任何負債，但任何先前違反買賣協議者除外。
由於賣方違反其第5.2條責任，於最後截止日期，仍有於重大方面未獲答覆的查詢有待賣方及公司作出回覆及提供文件，且買方並不信納規則3.5聯合公吿“買賣協議－買賣協議的成交條件”一節成交條件(H)（即契約方作出的保證仍屬真實及準確，且仍無誤導成分）已達成，包括但不限於下列各項：(i)並無收到任何有關違反證監會規則及守則、聯交所上市規則或任何其他監管機構就任何集團公司、負責人員及集團董事或其他僱員（以集團公司董事或僱員的身份）的調查或查詢，且有關調查或查詢仍在進行中或正在進行中、有待解決或面臨威脅。
(ii)據契約方所深知，並無任何情況可能使開展集團業務所需的任何牌照、同意、註冊、確認、許可、證書及批准失效，或使其中任何一項被沒收或修改或影響其重續；及(iii)集團設有一個適用於其所有附屬公司的充分合規計劃。該合規計劃包括為確保遵守適用法律而設計的書面反貪腐及反賄賂政策及程序，為集團董事、執行人員、代理、僱員、聯屬人士或代表舉辦例行及定期合規培訓，維持足以防止、偵查及遏止違反適用反貪腐法律的內部監控，以及進行定期內部審計，以評估合規計劃的成效。
賣方於2022年6月30日通知買方，指稱買賣協議失效屬誤導，其後於2022年7月4日否認其違反買賣協議，並將適時作出更充分的回覆，以及提議於2022年7月14日繼續落實完成。
然而，鑑於上文所述，買方的立場為買賣協議已於2022年6月30日終止及╱或失效，且不再具任何效力。買方重申，其無意就任何新完成日期與賣方進行任何重新磋商。買方保留於買賣協議項下的所有權利，包括但不限於要求賠償損失及╱或買方所產生的成本。
就收購守則而言，公司的要約期於本公吿日期結束。
