融科控股(02323.HK)：公司將無法於2022年6月30日之前償還未償金額
格隆匯6月28日丨融科控股(02323.HK)公佈，公司收到一封日期為2022年6月16日的函件("香港催款函")，該函件由深圳市華榕德貿易有限公司(一間於中華人民共和國註冊成立的公司)("貸款人")的香港法律顧問發出，收件人為公司及公司若干具名全資附屬公司(統稱"擔保人附屬公司")。所發出的香港催款函內容涉及：(i)貸款人根據日期為2016年10月28日的貸款協議(經補充)向韶關港橋企業管理諮詢服務有限公司("借款人"，公司全資附屬公司)墊付的人民幣170百萬元貸款融資("貸款")；及(ii)日期為2016年10月28日由公司及擔保人附屬公司(作為共同擔保人)就借款人責任向貸款人籤立的擔保契據("擔保")。
香港催款函載明(其中包括)：
(i)貸款人的中國內地法定代表人於2022年6月15日向借款人發出函件("中國催款函")，要求借款人安排於2022年6月30日向貸款人悉數償還逾期貸款本金人民幣1.70億元，並支付應計利息約人民幣5563萬元(截至及包括2022年6月30日計算)(統稱"未償金額")；
(ii)公司及擔保人附屬公司作為借款人的最終及中間母公司及擔保項下的共同擔保人，應確保借款人於2022年6月30日按要求向貸款人悉數償還未償金額；及
(iii)貸款人保留其在擔保項下針對所有或任何公司及擔保人附屬公司以及針對所有或任何抵押品的所有抵押文件項下的權利，包括但不限於對本公司及擔保人附屬公司提起法律訴訟。
在公司董事會今天舉行以審議(其中包括)公吿披露及其內容的會議上，執行董事卓可風先生及獨立非執行董事劉斐先生對公吿現時披露的內容投贊成票。獨立非執行董事麥國基先生同意刊發有關香港催款函及中國催款函的公吿，惟公吿內容以法律意見為準。非執行董事李永軍先生以不知情為由放棄表決。
董事認為，公司將無法於2022年6月30日之前償還未償金額。公司現正評估與香港催款函及中國催款函有關的影響，並就其可能針對所稱未償金額及/或所述函件所採取的行動尋求專業意見，包括但不限於法律及財務意見。集團將與貸款人就延長償還日期的可能性及其他可能方案進行磋商。
