長飛光纖(601869.SH)：擬取得博創科技的控制權
格隆匯4月7日丨長飛光纖(601869.SH)公佈，2022年4月7日，公司作為受讓方，與ZHU WEI(朱偉)、丁勇、WANG XIAOHONG、JIANG RONGZHI、天通控股股份有限公司(“天通控股”)(ZHU WEI(朱偉)、丁勇、WANG XIAOHONG、JIANG RONGZHI、天通控股以下合稱“轉讓方”)簽署了《股份轉讓協議》，公司擬通過協議轉讓方式以40元/股的價格受讓股份轉讓方持有的博創科技股份有限公司(“博創科技”或“目標公司”)2212萬股股份(約佔目標公司總股本的12.72%)，同時考慮到ZHU WEI(朱偉)作為目標公司原實際控制人出讓控制權，並考慮其為博創科技的生存和發展傾注了全部精力並將按照協議約定支持受讓方成為目標公司控股股東並維持目標公司控制權，給予其履約獎勵金1.4315億元，作為約定的交易價款的一部分，股份轉讓的總價款約10.28億元。
同日，公司與ZHU WEI(朱偉)簽署《表決權委託協議》，ZHU WEI(朱偉)同意將其持有的目標公司2211.0372萬股股份(約佔目標公司總股本12.71%，因轉增、送股等新增的股份自動納入委託範圍)對應的表決權全部委託給公司行使。
此外，ZHU WEI(朱偉)、丁勇、WANG XIAOHONG、JIANG RONGZHI分別出具《關於不謀求博創科技股份有限公司實際控制權的承諾函》，做出不可變更及撤銷的承諾與保證如下：“自《股份轉讓協議》約定的股權轉讓過户日起48個月內：(1)本人支持長飛光纖成為博創科技控股股東並維持對博創科技的控制權，充分尊重長飛光纖對博創科技的控制地位。(2)本人承諾，不會以任何形式（包括但不限於股份增持、協議轉讓等）單獨或共同謀求博創科技的實際控制人地位或實際控制權，在未經長飛光纖書面同意前，亦不會以其他委託、協議、達成一致行動等方式擴大在博創科技中的表決權比例。若本人違反前述承諾，給博創科技或者長飛光纖造成損失的，本人將依法承擔賠償責任。”
綜上，前述交易完成後，公司通過協議轉讓和表決權委託控制的目標公司表決權比例佔目標公司表決權的25.43%，取得目標公司的控制權。
公司看好博創科技的未來發展，認為博創科技具備長期投資價值。此次收購完成後，公司取得博創科技的控制權，有利於其充分發揮自身資源協調運作能力，增強博創科技的運營能力、持續盈利能力與市場競爭力，有助於未來發揮公司與博創科技的業務協同效應，提升交易雙方的業務拓展能力和競爭優勢。
