創建集團控股(01609.HK)：聯交所上市委員會維持上市科決定
格隆匯2月14日丨創建集團控股(01609.HK)公佈，關於聯交所上市科的決定("該決定")，其認為，在公司於2021年1月向公司前控股股東出售創健集團有限公司("出售事項")後，公司的主營業務已變更為提供物流相關服務，包括新能源汽車銷售及租賃、公路貨運及提供其新能源汽車的融資租賃服務("新能源汽車與物流及融資租賃業務")，且全部均於27個月內進行。此外，新能源汽車與物流及融資租賃業務並不符合上市規則第8.05條的新上市要求。聯交所認為，出售事項為一系列交易及安排的一部分，構成實現新能源汽車與物流及融資租賃業務上市的企圖，以及規避上市規則第8章新上市要求的方式。因此，出售事項、公司於2018年10月及2019年四月收購新能源汽車與物流及融資租賃業務以及於2018年12月對合共1,847輛新能源汽車的相關收購應視為猶如一項交易，並構成上市規則第14.06條項下的反向收購。
董事會謹此通知股東及公司有意投資者，上市委員會對該決定的再聆訊已於2022年1月26日舉行。
於2022年2月14日，公司收到上市委員會維持該決定的決定("上市委員會的再聆訊決定")，認為出售事項為一系列交易及安排的一部分，構成實現新能源汽車與物流及融資租賃業務上市的企圖，以及規避上市規則第8章新上市要求的方式。因此，上市委員會得出結論，出售事項及之前收購新能源汽車與物流及融資租賃業務應視為猶如一項交易，並構成上市規則第14.06B條項下的反向收購。
根據上市規則第2B.08(1)條，公司必須在收到上市委員會的再聆訊決定後七個工作日內向上市覆核委員會的祕書提交覆核要求。倘公司於2022年2月23日之前未有提出任何覆核要求，股份將自2022年2月24日上午九時正起暫停買賣。在此之前，股份將繼續買賣。倘於2022年2月23日或之前提出覆核要求，股份將不會於2022年2月24日暫停買賣。公司正在審閲上市委員會的再聆訊決定，並考慮是否向上市覆核委員會提出覆核上述決定的要求。董事謹此提醒股東及公司有意投資者：(i)公司可能會或未必會進行由上市覆核委員會作出覆核；及(ii)有關覆核(如進行)的結果並不確定。
