九豐能源(605090.SH)：擬購買四川遠豐森泰能源集團100%股份 將形成“海氣+陸氣”雙氣源格局、明起復牌
格隆匯1月17日丨九豐能源(605090.SH)公佈發行股份、可轉換公司債券及支付現金購買資產並募集配套資金預案，本次交易中，上市公司擬向New Sources、李婉玲等53名標的公司股東發行股份、可轉換公司債券及支付現金購買其持有的四川遠豐森泰能源集團股份有限公司100%股份(“標的資產”)。
同時，上市公司擬向不超過35名特定投資者發行可轉換公司債券募集配套資金，募集配套資金金額不超過本次交易中上市公司以發行股份、可轉換公司債券購買資產的交易金額的100%，並且募集配套資金髮行可轉債初始轉股數量不超過本次購買資產完成後上市公司總股本的30%。發行數量及價格按照中國證監會的相關規定確定。
本次購買資產不以募集配套資金的成功實施為前提，最終募集配套資金成功與否以及最終的發行數量和募集配套資金金額不影響本次購買資產的實施。
經過商業談判，標的資產的交易價格暫定不高於18億元。本次交易標的資產的最終交易價格將依據資產評估機構簽署的資產評估報吿中的評估值為基礎，由交易各方協商確定，並另行簽署補充協議。
本次交易完成後，上市公司的主營業務將在如下方面得到擴展：
1、上市公司將在“陸氣”資源方面獲得重要支點，正式形成“海氣+陸氣”的雙氣源格局，強化雙方在資源、市場、區域、管理、規模等方面的協同性，有效降低單一氣源對公司經營可能造成的波動。
2、上市公司的市場輻射範圍將從華南區域快速擴展至西南及西北區域，在實現全國產業佈局方面取得積極進展。
3、上市公司在終端市場方面，將從原有以工業(園區)用户、燃氣電廠、大客户為主的終端客户基礎上，快速切入到LNG汽車加氣市場，有效擴展終端應用領域。
4、特別地，標的公司在BOG項目提氦方面具有領先優勢，上市公司可以快速參與到該領域，為下一步在該領域的大力拓展打下堅實基礎；同時，上市公司可以藉助標的公司在原料氣、加氣站等方面的優勢，按照公司氫能產業發展規劃的要求，跨區域佈局氫能產業，實現協同發展。
此外，根據相關規定，經向上海證券交易所申請，公司股票將於2022年1月18日(星期二)開市起復牌。
