中國通商集團(01719.HK)獲湖北省港口集團溢價約6.5%提收購要約 明日復牌
格隆匯1月10日丨中國通商集團(01719.HK)公吿，於2021年12月31日，要約人湖北港口（香港）國際有限公司與該等賣方訂立買賣協議，據此，第一賣方中國通商投資集團有限公司及第二賣方卓爾控股有限公司有條件地同意出售及要約人有條件地同意以總代價14.84億港元（相當於每股待售股份1.15港元）收購待售股份（其中8.82億股股份及4.08億股股份分別來自第一賣方及第二賣方），相當於公司於本聯合公佈日期已發行股本總值約74.81%。
於本聯合公佈日期，要約人、要約人的最終實益擁有人及與彼等任何一方一致行動人士（該等賣方除外）均無於任何股份中擁有權益，但買賣協議項下的待售股份除外。於交割後，要約人將擁有合共公司全部已發行股本約74.81%。
根據收購守則第26.1條，要約人將須於交割後就全部已發行股份作出無條件強制性現金要約。每股要約股份現金1.15港元，較股份於2021年12月29日收市價每股1.08港元溢價約6.5%。
要約人為一間於2021年12月3日於香港註冊成立的投資控股公司。於本聯合公佈日期，其股份由湖北省港口集團有限公司擁有100%，而湖北省港口集團有限公司則由武漢市人民政府國有資產監督管理委員會擁有約82.8571%之權益、由咸寧市人民政府國有資產監督管理委員會擁有約4.2857%之權益、由鄂州市人民政府國有資產監督管理委員會擁有約4.2857%的權益、由黃岡市人民政府國有資產監督管理委員會擁有約4.2857%的權益及由黃石市人民政府國有資產監督管理委員會擁有約4.2857%的權益。
湖北省港口集團有限公司主要從事基礎設施投資建設、港口營運以及提供綜合物流、供應鏈管理等其他服務。
要約人將於股份要約截止後檢討集團現有主要業務及財務狀況，以制定集團未來發展及擴展集團主要業務的業務計劃及策略，即發展、營運及管理集裝箱及港口，以及提供港口相關、物流及其他服務，包括綜合物流、港口及倉庫租賃及供應鏈管理及貿易服務。根據檢討結果，要約人可能會探索其他商機，並考慮任何資產出售、資產收購、業務理順、業務撤資、集資、業務重組及╱或業務多元化是否合適，從而提升集團的長期增長潛力。
此外，公司已向聯交所申請股份自2022年1月11日上午9時正起恢復於聯交所買賣。
