建業實業(00216.HK)擬1.92億元收購上海西康路物業
格隆匯1月7日丨建業實業(00216.HK)公吿,於2022年1月7日,買方譽傑控股有限公司(為公司間接全資附屬公司)(作為買方)及公司(作為買方擔保人)與賣方(G9 Asia VIII Pte. Ltd.及Sandhill Neon Holdings Limited)訂立收購協議,據此,買方已有條件地同意購買而賣方已有條件地同意出售G9 ASIA IV PTE. LTD.全部股權及銷售貸款,總代價約為人民幣1.92億元(可予調整)。
銷售股份合共包括於收購協議日期及完成時目標公司所有已發行股份。銷售貸款指目標公司於完成時所欠各賣方所有款項。
目標公司主要業務為投資控股,其主要資產為中國公司的全部股權,而中國公司為該物業唯一擁有人,其主要業務為持有及租賃該物業。
該物業位於中國上海西康路608號,現時稱為"前社NEXXUS靜安"。該物業為一幢4層高商業樓宇,總建築面積約為6,660平方米。該物業土地使用權現時由有關中國政府部門於2018年6月向中國公司發出四份房地產權證涵蓋。該物業現已全數租予多名租户,而全部租户均為獨立第三方,每月總租金約為人民幣1,300,000元,而加權平均租賃屆滿期約為56個月。
集團在中國物業業務主要位於深圳、廣州及重慶。集團一直以來的目標是將其房地產業務擴展至中國其他一線城市,監於收購事項建築面積及投資金額大小適中,收購事項被視為集團在上海首個項目合適機會。該物業位於上海市核心中央商務區一的靜安區。監於該物業位處黃金地段,且周邊地區公共交通網絡完善,董事會相信收購事項可提供穩定額外經常性收入來源,且長遠可為集團作出正面貢獻。董事會認為收購事項乃符合集團業務發展策略及規劃寶貴投資機會。
於完成後,目標公司將成為公司間接全資附屬公司,而目標集團業績將合併至集團財務報表。
