杭鍋股份(002534.SZ)：擬以1.53億元取得蘭捷能源51%的股權
格隆匯1月3日丨杭鍋股份(002534.SZ)公佈，公司擬受讓交易對手方持有的蘭捷能源科技(上海)有限公司(“標的公司”或“蘭捷能源”)34.6667%股權，對應股權轉讓價款為7800萬元。同時公司擬向蘭捷能源增資7500萬元。
此次交易以2021年12月28日為基準日的評估報吿(坤元資產評估有限公司坤元評報〔2021〕864號《杭州鍋爐集團股份有限公司擬進行股權收購涉及的蘭捷能源科技(上海)有限公司股東全部權益價值評估項目資產評估報吿》）為依據，採取收益法為評估結果，蘭捷能源股東全部權益評估值為2.33億元。經雙方協商確定蘭捷能源投前估值2.25億元，公司擬以現金方式支付收購對價及增資合計1.53億元人民幣。預計股權轉讓及增資完成前後蘭捷能源的股權結構如下：
此外，此次交易完成後，蘭捷能源擬與 Elpanneteknik Sweden AB (“ELP 公司”)擬簽訂股權轉讓協議，蘭捷能源將收購ELP公司57%股權。蘭捷能源目前已持有ELP公司23%股權，此次交易完成後，蘭捷能源將持有ELP公司 80%股權。
公吿顯示，蘭捷能源由國內專注於清潔能源領域的優秀團隊聯合ELP公司股東於2018年8月在上海共同設立，註冊資本1250萬元，致力於成為全球一流的清潔能源核心產品供應和系統集成商。成立後，蘭捷能源成為了ELP公司在中國區域唯一的設備銷售及服務提供商。2019年，考慮雙方更為緊密的合作需求，蘭捷能源對ELP公司進行了投資入股。
ELP公司位於瑞典，是享譽全球的浸沒式高壓電極鍋爐供應商，亦是世界上為數不多的擁有高壓電極鍋爐製造技術的公司，專業製造各類高壓電極鍋爐及配套的輔助設備。其產品具有零排放、高安全性、高功率、高可靠性、快速啟動的優勢，並具備99.8%以上的熱效率。ELP公司專注於海外核電市場的應用，業務在北歐市場保持領先，並拓展至英國、澳洲及一帶一路沿線眾多國家。
蘭捷能源核心團隊通過將高壓電極鍋爐核心技術在國內進行二次開發，成功實現核電特種設備的民用化，並將高壓電極鍋爐廣泛應用於國內火電廠靈活性改造、棄風光電消納、煤改電區域供熱和工業用蒸汽等領域。蘭捷能源成立以來，在國內調頻調峯領域已成功完成包括克拉瑪依、赤峯、朝陽燕山湖等多個重大項目，其技術實力在國內電極鍋爐市場處於領先水平。
公司致力於為實現我國雙碳目標而不斷自我革新，堅定踐行着新能源、儲能+方向的戰略轉型。此次交易完成後，公司將成為蘭捷能源和ELP公司的控股方，ELP也將成為公司旗下的電極鍋爐品牌。此次收購完成後，公司裝備業務將拓展至世界尖端的浸沒式高壓電極鍋爐領域。公司將充分發揮雙方在技術、資金、渠道和產業鏈上的優勢，將全球領先的電極鍋爐技術更好地服務於公司戰略轉型之路。
