首程控股(00697.HK)攜手首鋼基金等設立合夥企業 重點投資綠色環保基礎設施相關項目
首程控股(00697.HK)公佈，於2021年12月31日，公司非全資附屬公司北京合壽(作為普通合夥人及執行事務合夥人)，與首鋼基金及國壽投資(各自作為有限合夥人)訂立合夥協議，以有限合夥的形式設立合夥企業。
根據合夥協議，北京合壽同意作為普通合夥人及執行事務合夥人參與合夥企業，並以人民幣4,500萬元的認繳出資額認購合夥企業的權益。合夥企業的認繳出資總額為人民幣45億元。
根據合夥協議的條款，合夥企業的目的是從事於投資管理服務，以實現合夥企業的資本增值和投資收益，並讓合夥人獲得回報。合夥企業將主要投資於國家政策支持的基礎設施項目，重點投資城鎮垃圾處理及資源化利用、污水處理及資源化利用等綠色環保基礎設施相關項目。
據悉，國壽投資最終由中國財政部及全國社會保障基金理事會分別持有其90%及10%的權益。國壽投資作為中國人壽保險(集團)公司旗下專業另類投資平台，投資領域涵蓋股權投資、不動產投資、基礎設施投資、特殊機會投資、普惠金融等。首鋼基金是首鋼集團(一家於中國成立的國有有限責任企業，最終由北京市政府國有資產監督管理委員會擁有)的全資附屬公司。
公吿稱，隨着首批公募REITs產品在國內成功發行，已迎來中國基礎設施公募REITs時代。公司藉助公募REITs時代機遇，於2021年積極佈局參與了公募REITs產品的戰略配售。根據合夥協議，此次基金的成立也將可吸納優質的基礎設施資產用於公募REITs產品的發行或擴募，最終實現公司在REITs領域形成“Pre-REITs基金收購+平台運營管理+公募REITs發行退出+REITs戰配投資”的戰略目標，實現打通業務閉環和資金閉環全鏈條的核心目的。
公司聚焦於停車出行和基礎設施不動產基金管理的主營業務，其中停車出行業務以長期經營權、新建BOT類項目和產權持有項目為主，具有需求量大、運營成本低的特點。在基礎設施不動產基金管理領域，公司以“基金+基地+產業”的模式，利用基金投資輻射產業資源，有效提升資產的價值。擁有長期穩定現金流的基礎設施資產被公認為優質的公募REITs底層資產，這正是公司旗下停車出行及城市更新資產的特徵。通過此次基金的成立，公司將從資產經營、基金管理等方面獲得全方位經驗提升。結合目前公募REITs政策更新，停車類資產已正式納入公募REITs試點範圍，此次合作積累的經驗，能夠協同主營業務板塊，為公司將來以停車出行及城市更新資產作為底層資產參與公募REITs發行打下堅實的基礎。
