晶方科技(603005.SH)：擬追加對全球領先的第三代半導體GaN(氮化鎵)器件設計公司VisIC公司的投資
格隆匯12月17日丨晶方科技(603005.SH)公佈，為積極佈局車用半導體前沿技術，有效把握三代半導體相關技術的產業發展機遇，公司與以色列VisIC Technologies Ltd., (“VisIC公司”)洽談股權合作，並於2021年8月，通過持股99%的蘇州晶方集成電路產業投資基金合夥企業(有限合夥)(“晶方壹號產業基金”)與VisIC公司簽訂了投資協議，晶方壹號產業基金出資1000萬美元(摺合人民幣6512.8萬元)投資VisIC公司，具體詳見公司於2021年8月10日發佈的《關於晶方產業基金對外投資的公吿》（臨2021-061），目前投資交割的相關手續已履行完畢，晶方壹號產業基金持有VisIC公司6.85%的股權。
為深化與以色列VisIC公司的股權合作，更好推進未來雙方的戰略合作與業務協同，公司此次擬通過使用晶方壹號產業基金已完成的對VisIC公司1000萬美元投資，同時有效利用社會資本相關資源，進一步加強對VisIC公司的投資與影響力。
具體實施方案為晶方壹號產業基金與蘇州工業園區產業投資基金(有限合夥)(“園區產業基金”)、趙東明、王蔚、蘇州嘉睿萬杉創業投資合夥企業(有限合夥)(“嘉睿萬杉”)、蘇州嘉睿資本管理有限公司(“嘉睿資本”)合作，通過設立、入夥增資、認繳出資轉讓等方式成立蘇州晶方貳號集成電路產業基金合夥企業(有限合夥)(“晶方貳號產業基金”)，其中晶方壹號產業基金作為有限合夥人認繳出資6600萬元(持股50.38%)，園區產業基金作為有限合夥人認繳出資3900萬元(持股29.77%)，趙東明作為有限合夥人認繳出資1056萬元(持股8.06%)，王蔚作為有限合夥人認繳出資1056萬元(持股8.06%)，嘉睿萬杉作為有限合夥人認繳出資487萬元(持股3.72%)，嘉睿資本作為普通合夥人認繳出資1萬元(持股0.01%)。
晶方貳號產業基金設立及增資後，一方面擬以1000萬美元(摺合人民幣6,512.8萬元)作為對價，購買晶方壹號產業基金持有的VisIC公司6.85%的股權，另一方面擬出資1000萬美元，再向VisIC公司境外股東購買其所持有的VisIC公司合計6.85%股權。
上述交易完成後，公司通過晶方貳號產業基金持有VisIC公司2000萬美元的投資(持股比例為13.7%)。
晶方科技通過發起設立晶方貳號產業基金並對以色列VisIC公司進行投資，有利進一步深化與以色列VisIC公司的股權合作，更好推進未來雙方的戰略合作與業務協同。VisIC公司為全球領先的第三代半導體GaN(氮化鎵)器件設計公司，其設計的氮化鎵功率器件可廣泛應用於手機充電器、電動汽車、5G基站、高功率激光等應用領域。目前VisIC公司正積極與知名汽車廠商合作，開發800V及以上高功率驅動逆變器用氮化鎵器件和系統，可為電動汽車提供更高轉換效率，更小模塊體積和更優性價比的器件產品。公司依據自身戰略規劃投資VisIC公司，進一步加強股權合作，積極佈局前沿半導體技術，並充分利用自身先進封裝方面的產業和技術能力，以期能有效把握三代半導體在新能源汽車領域產業發展機遇。
