上海建工(600170.SH):董事會批准2021~2025年度中長期激勵計劃
格隆匯12月16日丨上海建工(600170.SH)公佈,公司第八屆董事會第二十二次會議決議,會議一致審議通過了《上海建工2021~2025年度中長期激勵計劃》。董事會同意公司依照本激勵計劃,在2021~2025年度達到提取激勵基金的約束條件的情況下,每年提取一定金額的激勵基金授予激勵對象。激勵計劃主要內容如下:
一、激勵對象
激勵計劃的對象包括公司總部部門主要負責人、公司直接管理的所屬單位黨政主要領導和對公司整體業績和持續發展有重大貢獻的其他員工。
二、激勵約束條件
激勵計劃的約束條件由淨資產收益率、淨利潤、營業收入值三項約束條件組成。各年度提取激勵基金的約束條件目標值如下:
1、淨資產收益率:公司2021-2025年的加權平均淨資產收益率分別為8.0%、8.1%、8.2%、8.3%和8.4%;
2、淨利潤:以2020年淨利潤為基數,2021-2025年淨利潤增長率分別為7%、14%、21%、28%和35%;
3、營業收入值:2021-2025年的營業收入分別為2490億元、2674億元、2862億元、3065億元和3283億元。
當約束條件係數a大於等於0.8時,視為公司提取激勵基金的約束條件達到,可提取相應比例的激勵基金;否則視為公司提取激勵基金的約束條件未達到,當年度不得提取激勵基金。約束條件係數a按下表確定:

當年約束條件總得分=淨資產收益率得分*40%+淨利潤得分*35%+營業收入值得分*25%
上述淨利潤指扣除非經常性損益後的淨利潤;各年度的歸母淨資產均不考慮股票公允價值部分;各年度的加權平均淨資產中不含永續債金額。若公司發生權益類再融資行為,則以扣除融資數量後的淨資產為計算依據,同時剔除因公司所投資企業未來上市帶來的淨資產增加額的影響。
三、激勵基金額度
當公司達到提取激勵基金的約束條件時,以當年度淨利潤較淨利潤基準值(即計劃實施前五年淨利潤均值)的增長額為基數,提取最多不超過增長額的10%作為激勵基金。
四、激勵基金的發放
公司根據激勵對象的年度績效評價結果分配激勵基金,發放時間在各約束條件達到年度的後一年。激勵基金採取延期支付的方式,分兩年發放,由公司代扣代繳個人所得税。
