長江電力(600900.SH)：擬購買雲川公司100%股權 公司控股總裝機容量將增長57.46%、12月13日起復牌
格隆匯12月10日丨長江電力(600900.SH)公佈發行股份、發行可轉換公司債券及支付現金購買資產並募集配套資金暨關聯交易預案，上市公司擬以發行股份、發行可轉換公司債券(如有)及支付現金的方式購買三峽集團、三峽投資、雲能投、川能投合計持有的雲川公司100%股權，本次交易完成後，上市公司將持有云川公司100%股權。
根據三峽集團批覆，三峽投資將其持有的雲川公司40%股權無償劃轉至三峽集團。無償劃轉完成後，三峽集團、三峽投資分別以其持有的雲川公司40%、30%股權參與本次交易。截至本預案簽署日，本次無償劃轉的工商變更登記尚在辦理中。
同時，上市公司擬向不超過35名特定投資者以非公開發行股票及/或可轉換公司債券方式募集配套資金，募集資金總額預計不超過本次交易以發行股份、可轉換公司債券(如有)方式支付交易對價的100%，且發行股份數量(含募集配套資金部分發行可轉換公司債券初始轉股數量)不超過發行前上市公司總股本的30%。
本次交易前，上市公司以大型水電運營為主業，管理運營三峽、葛洲壩、溪洛渡、向家壩、烏東德、白鶴灘等6座巨型水電站(含目前受託管理的烏東德水電站和白鶴灘水電站)。截至2021年9月30日，公司控股總裝機容量4559.5萬千瓦(未含目前受託管理的烏東德水電站和白鶴灘水電站)，位於全球水電行業公司前列。
本次交易擬收購的雲川公司系烏東德和白鶴灘兩座水電站的投資運營主體。烏東德水電站核定裝機容量1020萬千瓦，已全部投產；白鶴灘水電站核定裝機容量1600萬千瓦，目前部分機組已投產。
本次交易完成後，上市公司擁有長江干流6座巨型梯級水電站，控股總裝機容量將增加至7179.5萬千瓦，增長57.46%。
本次交易完成後，雲川公司將納入上市公司的合併範圍，上市公司在資產規模、盈利能力等方面預計將得到提升，進一步鞏固行業地位和提升核心競爭力。
此外，經公司向上海證券交易所申請，公司股票將於2021年12月13日上午開市起復牌。
