越秀地產(00123.HK)出售越秀金融大廈予越秀房產基金(00405.HK)議案獲得逾99%通過
越秀地產(00123.HK)於昨日(6日)召開特別股東大會,以批准公司有關透過其直接全資附屬公司(作為賣方),與越秀房產基金(00405.HK)(作為買方)訂立收購契約,出售旗下位於廣州珠江新城的國際甲級寫字樓越秀金融大廈的議案,獲得99.9997%通過。
此次交易對應的物業作價為78億元人民幣(下同)。預計集團出售事項所得現金款項淨額約為31.34億元(已扣除出售完成前賣方需清償項目公司金融機構借款約28.55億元,以及公司擬按持股比例認購供股單位金額約12.67億元,錄得除稅後收益約13.66億元,資產負債水準(淨負債除以資產淨值)將自49.8%下降至40.5%。此次出售將進一步改善集團的資產負債及流動資金狀況。
越秀金融大廈為國際甲級寫字樓,是地處廣州珠江新城核心區的戰略性位置的地標建築,位於廣州天河CBD的核心區域。該物業總建築面積約21萬平方米,由地上68層建築(包括4層零售商業部分以及64層寫字樓部分)及設有827個地下停車位的4層地庫組成。越秀金融大廈已吸引來自金融、商業服務、信息技術等各行業的國內及跨國企業租用。
