商湯-W(00020.HK)擬全球發售15億股B類股份 引入混合所有制改革基金等多家基石
格隆匯12月7日丨商湯-W(00020.HK)發佈公吿，公司擬全球發售15億股B類股份，其中香港發售1.5億股B類股份，國際發售13.5億股B類股份，另有15%超額配股權；2021年12月7日至12月10日招股，預期定價日為12月10日；發售價將不超過每股發售股份3.99港元，每手買賣單位1000股，入場費約4030港元；中金公司、海通國際及匯豐為聯席保薦人；預期股份將於2021年12月17日於聯交所主板掛牌上市。
公司是一家行業領先，專注於計算機視覺技術，賦能百業的人工智能軟件公司。根據沙利文的報吿，按2020年的收入計，公司是亞洲最大的人工智能軟件公司，同時是中國最大的計算機視覺軟件提供商，市場份額達11%。公司利用公司的人工智能軟件平台，協助客户增強生產力，激發創造力，提升其經營效率，並由此奠定了公司在行業的領先地位。截至2021年6月30日，公司軟件平台的客户數量已超過2,400家，其中包括超過250家《財富》500強企業及其他上市公司，119個城市以及30餘家汽車企業，同時公司賦能了超過4.5億部手機及200多款手機應用程序。
堅持從事原創的前沿研究，是公司的立身之本。自成立以來，公司在全球競賽中已獲得70多項冠軍，發表了600多篇頂級學術論文，並擁有8,000多項人工智能專利及專利申請。公司打造了行業內前所未有的通用人工智能基礎設施，實現了多功能超高精度AI模型的大規模量產；公司開發的人工智能軟件平台可將AI模型快速部署在海量場景上，並實現自身規模的不斷拓展。根據沙利文的報吿，憑藉卓越的技術及規模效應，公司已於智慧商業、智慧城市、智慧生活及智能汽車領域取得市場領先地位，服務商業空間管理、住宅物業管理、城市管理、製造、基礎設施、交通、移動設備及應用、醫療及汽車。
公司已訂立基石投資協議，據此，基石投資者已同意在若干條件的規限下按發售價認購總金額4.50億美元(約35.10億港元)可購買的相關數目的發售股份。基於發售價每股3.92港元(即發售價範圍的中位數)，基石投資者將予認購的B類股份總數將為8.9531億股。基石投資者包括中國國有企業混合所有制改革基金有限公司(“混合所有制改革基金”)、國盛海外香港、上海人工智能產業股權投資基金、上汽集團全資附屬公司上汽香港、廣發基金、Pleiad基金、WT、Focustar Capital及Focustar Fund、及Hel Ved。
假設發售價為3.92港元(即發售價範圍的中位數)，公司將收取的全球發售所得款項淨額(假設超額配股權未獲行使)將約為56.55億港元。公司擬將全球發售所得款項淨額約60.0%用於為未來一至兩年增強研發能力；未來兩至三年內，約15.0%將用於投資新興商業機會以及提高產品及服務在國內外各垂直行業及情景的採用率及滲透率；未來一至兩年內，與過往投資步調一致，約15.0%將用於尋求戰略投資及收購機會，以就產品及服務開發及行業滲透實施公司以人工智能為核心的長期發展策略，並培養公司充滿活力的人工智能生態系統，以進一步擴大公司的業界影響力；及未來一至兩年內，約10.0%將用作運營資金及一般企業用途。
