路勁(01098.HK):擬10.22億元收購礦勁地產45%股權及股東貸款

格隆匯12月3日丨路勁(01098.HK)宣佈,於2021年12月3日,公司的間接全資附屬公司蘇州路勁、礦美地產及礦勁地產就有條件收購事項訂立合作協議,當中載有(其中包括)有關蘇州路勁擬透過公開招標方式自礦美地產收購礦勁地產股權及股東貸款的45%的安排。有條件收購事項的估計代價約人民幣10.216億元,其中(i)約人民幣270萬元用於收購礦勁地產的45%股權;及(ii)約人民幣10.189億元用於收購礦勁地產於2021年11月3日未償還股東貸款的45%。

有條件收購事項的最終代價將受招標程序所規限。在獲確認為中標人且完成有條件收購事項後,蘇州路勁及礦美地產將分別擁有礦勁地產45%及55%的股權。

同日,蘇州路勁、礦美地產、礦勁地產及盛世廣業就有條件收購事項訂立融資協議,當中載列蘇州路勁與礦美地產對礦勁地產的融資安排。根據融資協議,蘇州路勁已同意在協議所載條款及條件規限下向盛世廣業及礦勁地產支付總額約人民幣11.189億元,即按照蘇州路勁及礦美地產於礦勁地產的擬定股權比例(分別為45%及55%),蘇州路勁對礦勁地產支付的初始資金出資、初始啟動資金及後續出資。

蘇州路勁根據融資協議提供免息資金。根據融資協議墊付的資金到期日為以下各項之最早者:(i)2022年3月31日;(ii)自合作協議終止日期起計第十個營業日;及(iii)根據合作協議條款蘇州路勁獲確認為中標人的當日。

據悉,礦勁地產為礦美地產的一家全資附屬公司,於2021年9月在中國成立,其唯一目的為持有該土地的土地使用權及進行開發項目的投資、開發、經營及管理。該土地為一塊編號為2021-WG-49的地塊,位於中國江蘇省蘇州市。該土地的佔地面積約為55,903平方米,容積率不超過2.0。該土地獲准作住宅發展,獲授期限為70年。於2021年9月,礦美地產通過公開拍賣以購買價約人民幣21.973億元獲得該土地的土地使用權,該款項已獲悉數結清。於2021年10月12日,該土地的土地使用權由礦美地產轉讓予礦勁地產。
