中國金茂(00817.HK)公佈,於上星期三(10日),公司附屬公司「天津東輝」擬向青島青悅匯,出售青島方嘉置業90%的權益(持有山東青島市三幅住宅土地),代價約24.28億元人民幣(下同)。出售完成後,該土地將由青島青悅匯及公司分別持有90%及10%股權。公司料出售事項的收益約爲4.59億人民幣,指出售將有助於集團充分利用市場資源,優化項目投資回報,加快實現歸母淨利潤,分散項目風險。 三幅地佔地面積分別約2.9萬平方米、約7.7萬平方米、約7.4萬平方米,規劃建築面積分別約7.3萬平方米、約15.4萬平方米、約22.1萬平方米。目前第一幅土地已動工開發,另外兩幅尚處於前期規劃設計階段。 雙方簽訂合作協議,公司負責繼續開發已經動工的土地,並對其獨立承擔風險及享有收益;而青島青悅匯應負責開發兩塊土地,且青島青悅匯及公司按照90%:10%的比例,對這兩塊土地分擔風險及享有收益,如兩塊土地日後需要開發資金,青島青悅匯控股公司青特置業會代公司提供。 根據合作協議,青特置業同意於項目公司完成出售事項的工商變更登記手續後15個工作日內,向公司提供爲期一年的無息借款,金額約1.53億元。 當三幅地塊上所建設的商品房的簽約銷售面積合計達可銷售面積的85%或以上時,或截至合作協議簽訂日後的第二個週年日,若最早開發的地塊上所建設的商品房的簽約銷售面積,已達可銷售面積的85%或以上,公司可出售其所持土地的其餘股權。
