優化項目投資回報 中國金茂(00817.HK)擬出讓青島方嘉90%股權
格隆匯11月16日丨中國金茂(00817.HK)宣佈,於2021年11月10日,公司全資附屬公司天津東輝與青島青悦匯簽訂產權交易合同,據此,天津東輝同意向青島青悦匯出售其所持項目公司青島方嘉90%的股權,代價為人民幣24.28億元。於出售事項完成後,項目公司將由青島青悦匯及公司分別持有90%及10%的股權。於2021年11月16日,公司、青島青悦匯、青特置業(為青島青悦匯的控股公司)及項目公司簽訂合作協議,以規管出售事項完成後項目公司各股東的權利及義務,並就標的地塊的開發開展合作。
據悉,項目公司於2019年10月通過公開拍賣程序獲得標的地塊(包括地塊B4、地塊B6及地塊D11,均位於中國山東省青島市高新區)的土地使用權。截至公吿之日,地塊B4已動工開發,而地塊B6及地塊D11尚處於前期規劃設計階段。根據合作協議,於出售事項完成後,公司應負責繼續開發並操盤地塊B4,並對地塊B4獨立承擔風險及享有收益;而青島青悦匯應負責開發並操盤地塊B6及地塊D11,且青島青悦匯及公司應按照90%:10%的比例對地塊B6及地塊D11分擔風險及享有收益。
根據合作協議,如地塊B6及地塊D11後續因開發需求須由項目公司的股東按其所持項目公司的股權比例提供資金,則本公司須提供的資金應由青特置業代為提供。
此外,根據合作協議,青特置業同意於項目公司完成出售事項的工商變更登記手續後15個工作日內,向公司的指定實體提供一項無息借款,為期一年,金額為人民幣1.53億元。該金額乃根據公司及天津東輝就獲取地塊B6及地塊D11而已向項目公司投入資金(主要包括地塊B6及地塊D11的土地出讓金、契税及印花税)的10%釐定。
公吿稱,出售事項的(除税前)收益約為人民幣4.59億元,出售事項將有助於集團充分利用市場資源,優化項目投資回報,加快實現歸母淨利潤,分散項目風險。
