格力電器(000651.SZ)：擬以30億元入主盾安環境
格隆匯11月16日丨格力電器(000651.SZ)公佈，公司擬受讓浙江盾安精工集團有限公司(“盾安精工”)所持浙江盾安人工環境股份有限公司(“盾安環境”、“標的公司”)2.7036億股股份(佔公吿日標的公司總股本的29.48%)，轉讓價款約21.9億元；同時，公司擬以現金方式認購盾安環境向特定對象非公開發行的139,414,802股股票，認購價款約 8.10億元。
此次股份轉讓完成後，盾安環境將成為上市公司的控股子公司。此次交易完成後，格力電器將持有盾安環境 409,774,802股股份，佔發行後盾安環境總股本的38.78%。
標的公司存在一定規模的債務壓力，未來標的公司擬將經營性現金淨流量及資產處置回籠資金用於清償金融債務。但標的公司的經營情況受宏觀經濟形勢及行業週期波動等因素影響，該等情況可能進一步影響金融債務清償方案的執行，敬請投資者關注標的公司的債務風險。
此次股份轉讓已經格力電器董事會審議通過，並經盾安控股金融機構債委會執委會認可。此次非公開發行已經盾安環境董事會、監事會審議通過，獨立董事發表了事前認可意見和獨立意見，認購方格力電器董事會審議通過。
此次交易是公司構建多元化、科技型的全球工業集團，保障核心零部件自主可控，完善產業鏈佈局，進一步鞏固業務競爭優勢的重要舉措。標的公司的空調製冷元器件業務具備較深的技術積累和良好的生產製造能力，新能源熱管理器相關產品矩陣完善，已同國內眾多知名企業開展業務合作。格力電器看好盾安環境作為全球製冷元器件行業龍頭企業的產業價值，擬通過此次交易進一步提高公司空調上游核心零部件的競爭力和供應鏈的穩定性，發揮公司與標的公司的業務協同，完善公司新能源汽車核心零部件的產業佈局。
此次交易完成後，盾安環境將成為上市公司的控股子公司，公司將與標的公司在各方面進行深度整合，充分發揮雙方協同效應。如果整合措施不當或整合效果不及預期，將會影響上市公司與標的公司協同效應的發揮，敬請投資者關注標的公司後續整合風險。
