宏安地產(01243.HK)斥最多23.34億元參建合資企業 向合資企業出售商住物業
宏安集團(01222.HK)和宏安地產(01243.HK)聯合公布,宏安地產與APG合資企業夥伴等訂立協議,據此APG合資企業夥伴將認購合資企業公司一股新股份,以成立一間合資企業以從事收購香港住宅物業用作發展及重新發展以供銷售之業務。各合資企業夥伴在合資企業公司最高總承擔為23.34億元,而兩間合資企業夥伴則合共為46.68億元。認購完成後,APG合資企業夥伴和安地產將各擁有合資企業50%權益,故合資企業公司及其附屬公司之財務業績將不會綜合入賬至宏安集團或宏安地產集團綜合財務報表。合資企業公司的期限為自完成日期起計七年,經合資企業夥伴一致批准後期限可獲延長。 根據協議,APG合資企業夥伴有權要求各合資企業夥伴額外注資最多23.34億元,而兩間合資企業夥伴則合共為46.68億元,以成立一間新的合資企業公司,額外投資至業務範疇與合資企業公司相同,且條款與合資企業公司大致相同的項目。合資企業夥伴應各自向對方授出出售其於合資企業公司所有股份的選擇權,於各情況下之上限均為36.02億元。 與該投資完成之同時,合資企業公司向宏安地產按初步總代價約30.01億元,收購位於鴨(月利)洲和黃大仙的住宅商業單位和住宅樓宇,代價可予進一步調整。出售事項完成後,該等物業將不再為宏安地產附屬公司,且其財務業績將不再綜合入賬至宏安集團或宏安地產集團之綜合財務報表內,而合資企業公司將間接持有該等出售附屬公司100%權益。
