21世紀教育(01598.HK)擬4.1億元收購重慶資源與環境保護職業學院
格隆匯9月28日丨21世紀教育(01598.HK)發佈公吿，於2021年9月28日，買方澤瑞教育及澤際文化（為公司全資附屬公司）、賣方馳悦教育及鼎馳教育、擔保人及實益擁有人訂立股份轉讓協議，買方已有條件同意收購目標公司重慶崛起投資股份有限公司股權及債務，總代價為人民幣4.1億元，其中(i)約人民幣2.02億元為股份轉讓代價；及(ii)約人民幣2.08億元為債務轉讓代價。代價付款的(i)人民幣3.6億元以現金代價償付；及(ii)人民幣5000萬元以配發及發行1.09億股代價股份償付（即股份轉讓代價的餘下部分）。
目標公司為一家於中國成立的有限公司，為目標學校重慶資源與環境保護職業學院的唯一舉辦人。目標學校於2015年成立，位於四個中國政府直轄市之一的重慶市大足區，具有得天獨厚的地理優勢。新規劃的中距離鐵路成渝高鐵已獲批建設，且其中一個車站將設於大足石刻，鄰近目標學校。成渝高鐵預計於2025年投入運營，此對來自該等地區的學生而言更便利。
目標學校佔地面積438畝，已取得相關土地證。現有建築面積78,000平方米，目標學校計劃於未來3至5年內擴大至120,000平方米，可容納學生人數10,000人。在校學生人數及招生人數預期繼續增長，根據日後學生人數，目標學校或會達至290,000平方米的上限。目標學校是中國一所資源環境專業特色鮮明的全日制職業學校，重點構建生態環境、大數據智慧化、汽車工程、財經商貿、大健康、學前教育相互融合的六大專業集羣，開設包括環境工程技術專業、環境評價與諮詢服務專業、污染修復與生態工程技術專業、工程造價專業、會計、互聯網金融、電子競技運動與管理、大數據技術與應用、新能源汽車運用與維修等20餘個專業。
於2021年9月，其在校學生超過7,800人。儘管受到COVID-19的影響，目標學校仍盡一切努力為學生就業提供便利。2020年畢業生就業率達93.18%，基本實現全面就業。其中環境藝術、工程造價及環境工程技術專業的就業率均處於97%以上。於本公吿日期，於重慶開展專業培訓的學校每年人均學費最高不超過人民幣12,000元，政府平均每年資助每名學生人民幣1,300元。目標學校目前的全日制大專生學費介乎人民幣8,500元至人民幣12,000元，平均學費為人民幣10,000元。
董事會認為，為全日制職業教育提供資源及環境專業的目標學校的收購事項將符合集團的業務戰略，並補充集團的現有學校網絡。公司經考慮目標公司的教育質量、當地聲譽及專業資質後，認為收購事項將與集團旗下現有高等教育及中等教育高度協同，且於收購事項後可為集團帶來可觀的增長機會及進一步擴大集團的資產組合。收購事項將使集團可進一步拓寬其資產組合，尤其是在成渝地區的資產組合。因此，董事會認為，收購事項是集團現有業務的重要橫向發展。
