建發國際集團(01908.HK)擬收購長沙兆祥90%股權及廈門兆鼎瓏100%股權
格隆匯9月9日丨建發國際集團(01908.HK)發佈公吿,於2021年9月9日,公司的間接全資附屬公司益悦及廈門兆翊蓉與建發房產訂立長沙兆祥股權轉讓協議,據此,建發房產同意出售,而益悦及廈門兆翊蓉則同意分別購入長沙兆祥的85%及5%股權。長沙兆祥股權轉讓協議的現金代價為人民幣零元。益悦及廈門兆翊蓉須按照將於長沙兆祥持有的股權比例償還建發房產先前墊付予長沙兆祥的股東貸款(本金及利息)約人民幣8.09億元。
同日,公司的間接全資附屬公司上海盛高及廈門兆翊蓉與建發房產及廈門利源訂立廈門兆鼎瓏股權轉讓協議,據此,建發房產及廈門利源同意出售,而上海盛高及廈門兆翊蓉則同意分別購入廈門兆鼎瓏的95%及5%股權。廈門兆鼎瓏股權轉讓協議的現金代價為人民幣零元。上海盛高及廈門兆翊蓉按照各自將於廈門兆鼎瓏持有的股權比例償還建發房產先前墊付予廈門兆鼎瓏的股東貸款(本金及利息)約人民幣6.37億元。
於本公吿日期,長沙兆祥仍未開展任何業務。長沙土地為長沙兆祥所持有的主要資產。長沙土地位於中國湖南省長沙市雨花區武廣片區雨花大道以西、平陽路以東及長託路以南的高鐵新城,佔地面積約為143,250.97平方米,預計計容建築面積不超過約372,000平方米,土地用途為商業、住宅及體育用地,長沙土地的土地使用權出讓年限分別為商業用地40年、住宅用地70年及體育用地50年。
於本公吿日期,廈門兆鼎瓏仍未開展任何業務。上海土地為廈門兆鼎瓏間接持有的主要資產。上海土地位於中國上海崇明區陳家鎮朱雀路以西、柳蘭路以東、朱雀河(琵琶河)以北及翠鳥路以南CMS15–0305單元14A–01地塊20024街道0007街坊,佔地面積約為43,008.5平方米,預計計容建築面積不超過約43,438.59平方米,土地用途為住宅用地。上海土地的土地使用權出讓年限為住宅用地70年。
公司表示,鑑於(i)長沙土地及上海土地的地段良好,周邊配套齊全,具備較大開發潛力;及(ii)該等股權轉讓協議項下擬進行交易可進一步擴大集團的土地儲備規模及提升集團在中國房地產市場的知名度,董事認為訂立長沙兆祥股權轉讓協議及廈門兆鼎瓏股權轉讓協議各自有利於拓展集團的房地產開發業務,而長沙兆祥股權轉讓協議及廈門兆鼎瓏股權轉讓協議各自的條款均為公平合理的正常商業條款,並符合公司及股東整體利益。
