貴州茅台(600519.SH)：擬與茅台集團公司繼續簽訂商標許可協議
格隆匯9月8日丨貴州茅台(600519.SH)公佈，經公司2016年年度股東大會審議通過，公司及控股子公司貴州茅台酒銷售有限公司(以下簡稱茅台銷售公司)、國酒茅台(貴州仁懷)營銷有限公司(已註銷)與公司控股股東中國貴州茅台酒廠(集團)有限責任公司(以下簡稱茅台集團公司)共同籤訂了《商標許可協議》。鑑於上述協議已經到期，根據公司經營發展需要，公司擬與茅台集團公司繼續簽訂《商標許可協議》。
此次關聯交易不構成《上市公司重大資產重組管理辦法》規定的重大資產重組。此交易相關議案尚需提交公司股東大會審議，股東大會審議本項議案時，關聯股東將回避表決。
茅台集團公司擬將註冊的相關商標許可給公司使用。從規範和簡化許可程序的角度考慮，《商標許可協議》簽訂主體由前述四方調整為公司與茅台集團公司。《商標許可協議》的內容總體維持不變，維持了原有的支付標準和許可年限，擴大了許可商標範圍，調整了支付時間。
交易標的：此次關聯交易標的為商標許可使用，許可商標範圍在原許可商標基礎上擴大至82件，包含“茅台”“貴州茅台”“MOUTAI 及圖”“飛天”“茅台王子”“茅台迎賓酒”等茅台系列品牌商標和醬香系列品牌商標。
許可模式：茅台集團公司將上述82 件商標許可給公司使用，包括但不限於在產品、包裝和廣吿宣傳中使用，公司可按協議約定自行決策許可商標的再許可事項。
許可使用費支付標準：商標許可使用費的收費基數和收費比例仍按原標準執行。
1.商標許可使用費的收費基數：(1)當年公司本部使用許可商標酒類產品年銷售額； (2)當年茅台銷售公司使用許可商標酒類產品年銷售額與其從公司購買同等數量同類產品購買價年度總額的差額。
2.商標許可使用費的收費比例：在本協議約定的商標許可使用期間，商標許可使用費的收費比例為1.5%。
許可期限：2021年1月1日至2023年12月31日。
許可使用費支付方式：商標許可使用費的支付方式為每半年支付一次，時間分別為每年的7月20日前和公司年度報吿披露後的15個工作日內，由公司按照協議約定，付款給茅台集團公司賬户。
此次簽訂《商標許可協議》，系公司日常經營活動所需。該交易事項有利於公司對商標的統籌使用，有利於品牌的規劃發展，有利於保證經營環境的穩定性，有利於實現公司生產經營目的和長遠發展。
