兆新股份(002256.SZ)：董事會批准關於簽訂《債務清償協議》暨債務重組的議案
格隆匯8月31日丨兆新股份(002256.SZ)公佈，2021年8月30日，公司召開第五屆董事會第五十六次會議，審議通過了《關於簽訂<債務清償協議>暨債務重組的議案》，經公司與天津澤悦友好協商，雙方於2021年8月30日簽訂《債務清償協議》。確認自2021年8月16日起，公司應付天津澤悦的債權本金為人民幣345,852,514.12元，剩餘債務人民幣1.38億元，公司已於2021年8月31日償還給東莞瑞禾。自2021年8月16日起，利率由萬分之六每日降低為15.4%每年(債權基數按345,852,514.12元計算，日利率為15.4%/360)。天津澤悦同意延長公司12個月債務清償期，延期後公司應於2022年2月15日歸還天津澤悦本金1億元，於2022年8月15日一次性清償該債權的剩餘全部本金，即人民幣245,852,514.12元，公司按季度向天津澤悦支付利息。
原債權文書項下的各項擔保措施及強制執行措施由天津澤悦依法承繼，同時新增深圳市永晟新能源有限公司(“永晟新能源”)以其所持有的新餘德佑太陽能電力有限責任公司(“新餘德佑”)100%股權質押擔保、新餘德佑、合肥市永聚太陽能電力開發有限公司(“合肥永聚”)、合肥晟日太陽能發電有限公司(“合肥晟日”)提供連帶責任保證擔保，並以其所持有的動產提供抵押擔保、電站收費權質押擔保；公司董事長提供無限連帶責任擔保。根據協議約定，若公司向天津澤悦提供了有關擔保，辦理了相關登記手續，且擔保物的價值/債權餘額的價值不低於1.6倍時，天津澤悦同意解除對公司名下位於深圳市寶安區石巖鎮寶石西路東側生產車間4棟夾層、深圳市寶安區石巖鎮寶石西路東側生產車間4棟一層等24處不動產的抵押。
此次債務重組在公司董事會的審批權限範圍內，不構成關聯交易，亦不構成《上市公司重大資產重組管理辦法》規定的重大資產重組。此次擔保事項屬於上市公司全資子公司為上市公司提供擔保，已履行永晟新能源、新餘德佑、合肥晟日內部審批程序，無需提交公司董事會、股東大會審議。因合肥永聚、中廣核國際融資租賃有限公司及華潤深國投信託有限公司簽署的《華潤信託?合肥永聚光伏電站集合信託計劃債權確認及轉讓協議》，永晟新能源以其持有的合肥永聚100%股權認購該信託計劃項下的劣後級信託份額，公司將於2021年10月16日前結清相關債務，終止該信託計劃，並履行相應的擔保審批程序。
