廣匯物流(600603.SH)：亞中物流擬收購格信公司65%股權
格隆匯7月20日丨廣匯物流(600603.SH)公佈，公司子公司新疆亞中物流商務網絡有限責任公司(“亞中物流”)擬以現金方式購買新疆廣匯房地產開發有限公司(“廣匯房產”)持有的新疆格信投資有限公司(“格信公司”或“標的公司”)65%股權，交易金額約人民幣21.59億元，其中對價中的約7.59億元衝抵廣匯房產對格信公司的應付款項，實際支付現金約14億元。
格信公司擁有位於烏魯木齊臨空經濟示範區4宗土地，證載總面積為6,573.17畝，其中商住用地578.93畝，未利用地472.19畝，農用地5522.05畝。該地塊由格信公司於2005年參與烏魯木齊小地窩堡安置農場企業改制的過程中以出讓的方式取得。根據《烏魯木齊臨空經濟示範區控制性詳細規劃及概念性城市設計》和烏魯木齊市自然資源局《關於新疆格信投資有限公司用地情況説明》，上述土地依規均已納入烏魯木齊臨空經濟示範區，作為建設用地進行開發，現1464畝已完成建設用地報批工作，正在報批1123畝，其餘3861畝用地根據烏魯木齊市人民政府關於臨空經濟示範區的規劃按批次報批完成農用地轉建設用地的工作。格信公司地塊證載情況及報批進度如下：
公司以物流園區投資、經營以及冷鏈物流項目建設為主業，開展商業管理、商業保理和供應鏈管理等物流配套業務，並在此基礎上階段性植入優質地產項目，與物流主業聯動發展，實現了公司重組上市以來的穩健發展。2020年起，冷鏈項目開業後即受到疫情衝擊，冷凍貨品出入庫貨量大幅下降，經營結果未達預期，加之美居物流園因老城區改造被烏魯木齊高新區徵收，導致物流業態急劇萎縮。為增強公司可持續經營能力，公司一直在不斷尋找優質資產，培育發展新動能。此次交易將有利於公司獲得新的成長空間，加快物流主業的發展，增加可持續經營能力，符合公司的未來發展規劃，有利於維護公司全體股東利益。
