東方盛虹(000301.SZ)：擬最終以143.6億元收購斯爾邦100%股權
格隆匯7月11日丨東方盛虹(000301.SZ)公佈，公司擬通過發行股份及支付現金方式，購買交易對方合計持有的斯爾邦100%股權，並向不超過35名符合條件的特定投資者發行股份募集配套資金。其中，擬向盛虹石化、博虹實業全部發行股份購買資產；擬向建信投資、中銀資產全部支付現金購買資產。
根據中聯評估出具的《標的資產評估報吿》(中聯評報字[2021]第1718號)，以2021年3月31日為評估基準日，斯爾邦100%股權的評估價值為150.2億元。參考該評估值，經各方協商一致後交易作價確定為150.2億元。考慮到此次交易的評估基準日後標的公司分紅事項後，經各方協商一致，此次交易的標的資產的最終交易價格確定為143.6億元。
另外，公司擬向不超過35名符合條件的特定投資者，以詢價的方式非公開發行股份募集配套資金，募集配套資金總額不超過408872.73萬元。此次募集配套資金所涉及的非公開發行股票數量不超過此次交易前上市公司總股本的30%，且募集配套資金總額不超過此次交易中以發行股份方式購買資產對應的交易價格的100%。
募集配套資金中擬用於補充上市公司流動資金或償還有息負債的比例不超過此次交易對價的25%或募集配套資金總額的50%。
補償義務人同意並承諾，標的公司2021年度、2022年度及2023年度扣除非經常性損益後歸屬於母公司淨利潤不低於178380.04萬元、150865.33萬元、184252.90萬元。若此次重組未能在2021年12月31日(含當日)前完成標的公司交割，補償義務人同意並承諾標的公司2022年度、2023年度、2024年度扣除非經常性損益後歸屬於母公司淨利潤不低於150865.33萬元、184252.90萬元、177948.17萬元。
標的公司是一家專注於生產高附加值烯烴衍生物的大型民營企業，採用一體化生產工藝技術，以甲醇為主要原料製取乙烯、丙烯等，進而合成烯烴衍生物。標的公司主要產品包括丙烯腈、MMA等丙烯下游衍生物，EVA、EO等乙烯下遊衍生物。
通過此次交易，公司將置入盈利能力較強的優質資產。公司主營業務將進一步拓展並新增高附加值烯烴衍生物的研發、生產及銷售，主要產品範圍將新增丙烯腈、MMA、EVA、EO及其衍生物等一系列多元基礎及精細化學品，有助於增強公司的可持續發展能力和核心競爭力。
