容百科技(688005.SH)：投資者交流活動上對主要業務的未來業績超預期的預測等 董事長及董祕收到寧波證監局警示函
格隆匯6月20日丨容百科技(688005.SH)公佈 ，公司於2021年6月18日收到中國證券監督管理委員會寧波監管局(“寧波證監局”)下發的《關於對容百科技董事長白厚善採取出具警示函措施的決定》([2021]6號)、《關於對容百科技董事會祕書張媛採取出具警示函措施的決定》([2021]7號)。
上述事項涉及，2021年5月27日，容百科技相關人員在東吳證券股份有限公司舉行的“2021中期策略會”相關投資者交流活動上，透露了公司有關產能建設、實際投產及產量等重大信息，並做出公司主要業務的未來業績超預期的預測。2021年5月28日公司股票收盤價格上漲19.99%，5月31日公司股票收盤價格上漲18.94%並觸及科創板股票交易異常波動。
白厚善作為容百科技董事長，參與了上述相關投資者交流活動，應當對公司信息披露的公平性負責。上述行為違反了《上市公司信息披露管理辦法》第三條第二款的規定，按照《上市公司信息披露管理辦法》第五十二條的規定，我局決定對你採取出具警示函的行政監管措施。其應引以為戒，切實加強對證券法律法規的學習，規範對外發布信息的行為，杜絕此類違規行為再次發生。
張媛作為容百科技董事會祕書，參與了上述相關投資者交流活動，應當對公司信息披露的公平性負責。上述行為違反了《上市公司信息披露管理辦法》第三條第二款和第三十八條第一款的規定，按照《上市公司信息披露管理辦法》第五十二條的規定，我局決定對你採取出具警示函的行政監管措施。應引以為戒，切實加強對證券法律法規的學習，規範對外發布信息的行為，杜絕此類違規行為再次發生。
如果對本監督管理措施不服，可以在收到本決定書之日起60日內向中國證券監督管理委員會提出行政複議申請，也可以在收到本決定書之日起6個月內向有管轄權的人民法院提起訴訟。複議與訴訟期間，上述監督管理措施不停止執行。
