輝煌科技(08159.HK)擬1.01億元出售東莞亞聯科技電子全部股權
格隆匯6月16日丨輝煌科技(08159.HK)公吿，於2021年6月16日，輝煌電子及目標公司東莞亞聯科技電子有限公司(均為公司間接全資附屬公司)與買方訂立該協議，據此，輝煌電子已有條件同意出售，而買方已有條件同意購買目標公司東莞亞聯科技電子有限公司的全部股權，代價為人民幣1.01億元。出售事項完成後，目標公司將不再為公司的附屬公司。
於2021年6月16日，目標公司(作為出租人)及東莞輝煌(作為承租人)訂立租賃，據此，東莞輝煌有條件地同意自目標公司租賃及目標公司有條件地同意向東莞輝煌出租廠房及宿舍A，自完成日期起計為期5年，每月租金為人民幣35.78萬元，用於開展製造及組裝電子產品等業務。
目標公司為一間於中國註冊成立的有限公司，由公司的間接全資附屬公司輝煌電子全資擁有。目標公司主要從事製造主要用於電腦及周邊產品的接駁產品。
集團一直設法增加該等土地的價值，該等土地為目標公司的主要資產，其未得到充分利用，與塘廈鎮近年來通過拍賣出售的其他土地相比，該等土地的地積比率較低。
此外，得益於地方政府出台政策鼓勵該等土地所在塘廈工業區的項目開發，多年來塘廈土地物業的售價不斷上漲。董事亦瞭解到，該等土地周邊的工業設施已逐步拆除並發展為住宅物業。儘管該等土地最初被指定作工業用途，但因地方政府城市規劃政策的潛在變化，該等土地的未來用途仍存在不確定性。
因此，董事認為，集團投入資源進一步開發該等土地作經營用途可能存在風險。有監於此，董事認為，出售事項為集團變現該等土地價值的良機。於完成後，目標公司將不再為公司附屬公司，而公司將不可再使用土地及建於其上的設施進行運營，因此根據2021年6月16日的協議透過東莞輝煌訂立租賃。
董事認為，租賃項下的回租安排將使集團能夠在確定國內及╱或海外製造基地的過程中維持其日常運營，並降低搬遷成。倘集團獲悉當地政府的城市規劃政策有任何潛在變動，而可能影響集團根據租賃合法使用廠房及宿舍A的權利時，集團將尋求其他替代方案並考慮與目標公司協商終止租賃(如必要)。
