騰邦國際(300178.SZ)擬同意控股子公司旅遊集團被債權人申請破產清算
格隆匯 2 月 22日丨騰邦國際(300178.SZ)公佈，公司控股子公司旅遊集團於2021年1月25日收到廣東省深圳市中級人民法院(“法院”)(2020)粵03破申834號《聽證通知書》(已於2021年1月27日在巨潮資訊網披露，公吿編號:2021-005)，申請人趙文娟申請對旅遊集團進行破產清算，主要內容如下：
“申請人與被申請人因勞動合同關係訴至法院，法院判決認定被申請人欠申請人33,058.8元。被申請人沒有按照法院判決執行，申請人申請法院對其強制執行，法院於2020年6月16日做出裁定：“經窮盡執行措施，未發現被執行人有可供執行的財產，符合終結此次執行的條件。裁定終結此次執行。”
申請人認為：被申請人作為債務人，不能清償到期債務，並且資產不足以清償全部債務或者明顯缺乏清償能力的，因此，申請人作為債權人依法向法院提出對債務人進行破產清算的申請。”
旅遊集團主要業務為出境遊，因疫情因素，業務受到嚴重不利影響，業績虧損；旅遊集團多項債務逾期，截止2020年9月30日，旅遊集團總資產為4.68億元，負債總額為7.94億元，累計訴訟金額已達到7.09億元，已經嚴重資不抵債、不能清償到期債務，預計短期內出境遊業務不會有太好的轉機，明顯缺乏償債能力，根據《中華人民共和國企業破產法》“第二條企業法人不能清償到期債務，並且資產不足以清償全部債務或者明顯缺乏清償能力的，依照本法規定清理債務。企業法人有前款規定情形，或者有明顯喪失清償能力可能的，可以依照本法規定進行重整。第七條債務人有本法第二條規定的情形，可以向人民法院提出重整、和解或者破產清算申請。債務人不能清償到期債務，債權人可以向人民法院提出對債務人進行重整或者破產清算的申請。企業法人已解散但未清算或者未清算完畢，資產不足以清償債務的，依法負有清算責任的人應當向人民法院申請破產清算。”，旅遊集團符合破產清算的規定，綜上公司擬同意控股子公司旅遊集團被債權人申請破產清算。公司董事會已審議通過上述事項，本事項尚需提交股東大會審議。
