上柴股份(600841.SH)：擬收購上依投、上依紅及上菲紅全部或部分股權 打造重型卡車和柴油發動機兩大產業板塊協同發展的新格局
格隆匯 1 月 4日丨上柴股份(600841.SH)公佈，上柴股份擬向上汽集團以發行股份的方式購買其持有的上依投50%股權、上依紅56.96%股權；向重慶機電以發行股份的方式購買其持有的上依紅34%股權、上菲紅10%股權；向上依投以支付現金的方式購買其持有的上依紅9.04%股權。
截至預案簽署日，此次交易標的資產審計及評估工作尚未完成，標的資產的評估值及交易作價均尚未確定。本次交易標的資產的交易價格以符合相關法律法規的資產評估機構出具並經國有資產監督管理部門備案的評估報吿的評估結果為基礎，由上市公司與交易對方協商確定，並由雙方簽訂正式協議另行約定。相關資產經審計的財務數據、經備案的資產評估結果、標的資產定價情況等將在重組報吿書中予以披露。
為提高此次交易整合績效及支付本次交易現金對價，上柴股份擬向不超過35名特定投資者非公開發行股份募集配套資金，擬發行的股份數量不超過本次重組前公司總股本的30%，募集配套資金總額不超過本次交易中以發行股份方式購買資產的交易價格的100%。
募集配套資金扣除中介機構費用及其他相關費用後，擬用於支付此次交易現金對價、標的資產投資項目及補充流動資金。募集資金具體用途及對應金額將在重組報吿書中予以披露。
此次重組前，上市公司的主要業務為設計、生產和製造內燃機及動力總成，包括為商用車、工程機械以及船舶和發電機組等配套用的柴油發動機及零部件等設計、生產與銷售，產品用於商用車、工程機械、農用機械、船舶、移動式電站等領域。
此次交易的標的資產中，上依投母公司層面不直接開展生產經營業務，主要持有另外兩家標的公司上依紅、上菲紅的相關股權；標的資產上依紅是國內領先的重型卡車生產製造企業，與上市公司及標的資產上菲紅柴油發動機業務具有良好的業務聯動和戰略協同效應，此次重組將進一步完善上市公司的產業鏈佈局；上菲紅專注於柴油發動機及配件的研發、生產、銷售，是中國領先的柴油機制造企業之一，也是中國高技術、低排放柴油機的推進者，本次重組實現了對上汽集團及產業合作方優質柴油發動機資產的整合，標的資產注入後將進一步提升上市公司柴油機產品的競爭實力。
此次重組完成後，上市公司將致力於打造重型卡車和柴油發動機兩大產業板塊協同發展的新格局，其中重型卡車業務將以本次交易完成後全資控股的上依紅為平台，打造成為商用車重卡領域的頭部企業，柴油發動機業務將延續國內領先的多領域獨立供應商的定位，為國內外商用車、工程機械、農機、中小型船舶和發電機組客户提供技術領先的產品。
